FILLING OF CANDIDATE LISTS FOR THE APPOINTMENT OF THE BOARD OF DIRECTORS AND THE BOARD OF STATUTORY AUDITORS

Reggio Emilia, 24 April 2026 – With reference to the Shareholders' Meeting of SBE - VARVIT S.p.A. ("SBE-Varvit" or the "Company") called on 30 April 2026, it is herewith announced that, as of April 23, 2026, only the following lists of candidates for the appointment of the Board of Directors and the Board of Statutory Auditors have been filed, submitted by the shareholder Vescovini Group S.p.A., holder of shares representing 95.93% of the Company's share capital.

BOARD OF DIRECTORS

The list of candidates for the position of member of the Board of Directors is composed as follow:

1. Alessandro Vescovini;
2. Federico Vescovini;
3. Alberto Vescovini;
4. Pierluigi Mastrorilli;
5. Fabrizio Vicari;
6. Andrea Pez;
7. Fabio Buttignon, who meets the independence requirements set out in Article 148, paragraph 3 of Legislative Decree No. 58/98..

BOARD OF STATUTORY AUDITORS

The list of candidates for the position of member of the Board of Statutory Auditors is composed as follows:

SBE-Varvit is active in the production, distribution and commercialization of a wide and diversified range of fastening components including screws, bolts, nuts, cold and hot formed products, fasteners and highly engineered mechanical components. The Company is characterised by its integrated and vertical offer, through which it can constantly monitor each stage of the production process and disintermediate the market.
