Dear Sir and Madam,
The Company is pleased to report that Meitav Dash Investments Ltd, a Company's principle shareholder and an interested party in the Company (the "Principal Shareholder"), has requested on 20 July, 2022, to exercise all of its rights for shares of the Company which it hold (nostro and provident & pension funds) pursuant to an investment agreement in the Company dated 23 July, 2020 (and its amendment dated 4 November, 2020)1 (the "Option" and the "Investment Agreement", respectively), such that 53,492 options for shares which the Principal Shareholder hold will be exercised into 53,492 ordinary shares of the Company, at an exercise price of US\$ 8.88 for each option (which are NIS 30.609 per share, according to the Bank of Israel's US Dollar exchange rate of NIS 3.447, at the day the exercise request was received), and according to the terms of the Option. The Company will publish accordingly an immediate report on the change of its share capital.
SavorEat Ltd. is developing a system for advanced digital production of various types of plant-based meat substitutes, the purpose of which is to provide the consumer with a customized eating experience that is as similar as possible (in taste and texture) to eating meat of animal origin. The first product the Company focuses on is a plant-based burger.
