Sub : Intimation under Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 regarding issuance and allotment of Equity Shares pursuant to the Scheme of Amalgamation of Parsec Enterprises Private Limited with Saurashtra Cement Limited and the Shareholders and Creditors pursuant to Section 230 to 232 of the Companies Act, 2013 and other applicable provisions of the Companies Act, 2013 ("the Scheme").

This is further to our communication to the Exchange dated 29" April,2021 wherein it was informed that the Scheme of Amalgamation of Parsec Enterprises Private Limited ("PEPL" or "the Transferor Company") with Saurashtra Cement Limited ("SCL" or "the Transferee Company") and their respective Shareholders and Creditors pursuant to Section 230 to 232 of the Companies Act, 2013 and other applicable provisions of the Companies Act, 2013 ("the Scheme'), was sanctioned by the Hon'ble National Company Law Tribunal, Ahmedabad Bench vide its order dated 26" April, 2021

The Scheme got effective from 7" of May 2021. Pursuant to the Clause 5 of the Scheme, the Board of Directors of the Company on 29" May 2021 have approved the allotment of 1,35,38,370 (One crores thirty five lakhs thirty eight thousand three hundred seventy) fully paid-up Equity shares of Rs.10/- (Rupees Ten only) each at par, to the following Shareholders of Transferor Company.

Omna Enterprises LLP				,05,22,431 equity shares of Rs.10/- each.
Mehta	Investments	Mauritius	Limited	30,15,939 equity shares of Rs.10/- each.

The above 1|,35,38,370 (One crores thirty five lakhs thirty eight thousand three hundred seventy) Equity Shares shall rank pari passu with the existing Equity Shares of the Company in all respects, including dividend entitlement.

Further, the existing |,35,38,370 (One crores thirty five lakhs thirty eight thousand three hundred seventy) Equity Shares held by the Transferor Company(Parsec Enterprises Private Limited) in the Share Capital of the Transferee Company stands cancelled pursuant to Clause 5 of the Scheme.

Accordingly, the Issued, Subscribed and Paid-Up Equity Share Capital of the Company remains unchanged post above allotment and cancellation of Equity Shares i.e. Rs. 13,53,83,700 (One Thirteen crores fifty three lakhs eighty three thousand seven hundred) divided into 1|,35,38,370 (One crores thirty five lakhs thirty eight thousand three hundred seventy) Equity Shares of Rs. | 0/- (Rupees Ten only) each.

Please note that, post allotment and cancellation of Equity shares, the Promoter Shareholding in the Company has not undergone any change.
