SAUDI TELECOM COMPANY ANNOUNCING THE NOMINATION FOR MEMBERSHIP OF ITS BOARD OF DIRECTORS FOR ITS SIXTH TERM.

The Board of Directors of Saudi Telecom Company is pleased to announce to its valued shareholders that membership nominations are now open for its sixth term, which extends for from 09/07/1436 AH, or 28/04/2015 AD, to 28/04/2018 AD, for three Gregorian years where it will take place during the upcoming regular general assembly of the Board the date of which will be announced following the approval of the concerned decision makers. The voting will follow the terms and conditions specified in Law No.222/9362/3245 by the Ministry of Commerce on 18/6/1412 AH. Stakeholders who wish to nominate themselves as board members, and who possess shares in the company with a nominal value of no less than ten thousand riyals, should submit the nomination application to the address specified below, no later than Monday 20/04/1436 AH, or 09/02/2015AD. The application should include all of the following documents:

(1)Nominee profile, biography, professional qualifications, and experience in the company line of business.

(2)Statement specifying the number of history of nominee past memberships in the board of directors of joint stock companies.

(3)Statement of number of nominee current memberships in the board of directors of joint stock companies, and description of membership.

(4)Statement specifying the nominee direct or indirect participation in the management/ownership of companies or organizations in a similar line of business.

(5)If nominee used to sit on the board of Saudi Telecom Company, he or she should provide in the application a statement from the company, which includes the following information:

(a)Number of board meetings that took place each year of the relevant term, the number of meetings attended by the ex member, and the frequency of his or her attendance.

(b) Names of Permanent Committees which the ex member took part in, number of meetings for each of these committees that took place each year of that term, the number of meetings attended by the ex member, and the frequency of his or her attendance.

(c) Summary of financial results achieved by the company during each year of that term.

(6)A completed no. 3 form of the Capital Markets Authority, which can be found on the website of Capital Markets Authority www.cma.org.sa.

(7)The nominee should not sit on the board of more than five joint stock companies at a time.

(8)Nominee should provide a clear and up to date picture from the individual national identity and the commercial record of companies and organizations, as well as the nominee personal contact numbers.

(9)It is necessary for the nominee to be familiar with and to comply by the policies, standards, and procedures of the membership in the Board of Directors of Saudi Telecom Company, which can be found on the company website: http://stc.tc/BoD-Membership.
