Saudi Telecom invites its shareholders to attend the Ordinary general assembly Meeting.

The board of directors of Saudi Telecom is pleased to invite its shareholders owning 20 shares or more to attend Ordinary general assembly Meeting to be held in the in King Faisal Conference Hall at Intercontinental Hotel in Riyadh. on 01-04-2015 corresponding to 12-06-1436 at 18:30 to consider the following agenda:

(1)Approval of Board of Directors report for the financial year ending 31/12/2014.

(2)Approval of the Auditors report, and the final accounts for the financial year ending 31/12/2014.

(3)Approval of the Board of Directors proposal to distribute SR 1 per ordinary share in dividends for Q4 2014. The total amount to be distributed to shareholders will be SR 2 billion (10% of nominal value). This, in addition to dividends distributed during the first three quarters of financial year 2014, amounting to SR 2.5 per share. Consequently, the total proposed dividend for the fiscal year 2014 will be SR 3.5 per share. The Q4 2014 dividend will be distributed to shareholders appearing in the company registrar of shareholders as at the trading day coinciding with the date of the General Assembly. The distribution will be made on Thursday 27/06/1436AH or 16/04/2015AD, the remaining earnings to be retained for the coming years.

(4)Approval is sought for the selection of auditors, nominated by the audit committee, to review the yearly and quarterly financial statements for 2015, and specifying their fees.

(5)Approval is sought for awarding board members a bonus distribution of SR 200,000 Saudi Riyals for the financial year ended 31/12/2014. (6)Indemnification of all board members for the year ended 31/12/2014. (7)Election of new Board of Directors for three calendar years in the sixth session, according to the cumulative voting method, starting from 28/04/2015.

The quorum necessary for the meeting to be in session should be attended by the shareholders representing 50% of the company's capital. Each shareholder owning 20 or more shall have the right to attend the general assembly meeting whether in person or by proxy, subject to presentation of corroborating evidence or a written power of attorney endorsed by the chamber of commerce authorizing another shareholder, other than the member of the board of directors or employees of the company, to attend the general assembly meeting on their behalf and it should be sent to Saudi Telecom Company Investors Relations General Administration, Building 61, First Floor, P.O.Box: 87912 Riyadh 11652 and delivered to the company prior 3 working days of the meeting.

All shareholders interested in attending should register their names in the attendance record, which will be closed half an hour prior to the meeting. All attendees, both shareholders and proxies, are required to present their identity card at the meeting, in accordance with the aforementioned law.
