THE BOARD OF DIRECTORS OF SAUDI ARABIAN MINING COMPANY (MAADEN) RECOMMENDS INCREASING COMPANY CAPITAL THROUGH A RIGHTS ISSUE

The Board of Directors of Saudi Arabian Mining Company (Maaden) resolved in its meeting held on 15/05/2014 to recommend to the Extra-ordinary General Assembly to increase company capital through a rights issue with a total value of SAR 5,600,000,000, subject to obtaining the approvals of the competent regulatory authorities and the Extra-ordinary General Assembly on the capital increase and setting the price and number of shares to be issued. The objectives of the capital increase are to expand the Companys phosphate and gold operations and to continue funding the aluminum project.

Eligibility shall be to those shareholders registered in the Company Shareholders Register as at the end of the trading day on which the Extra-ordinary General Assembly will be held. The date of the Extra-ordinary General Assembly will be announced at a later stage.
