Sub: Outcome of the Board Meeting held today from 9.30 am to 10.15 am Ref: Scrip Code 532663 / SASKEN

We wish to inform that the Board at its meeting held today had:

1. Based on recommendation of the Nomination and Remuneration Committee and Audit Committee, approved the appointment of Mr. Priyaranjan as Chief Financial Officer, one of the Key Managerial Personnel, of the Company effective today.

2. Based on recommendation of the Nomination and Remuneration Committee and Risk Management Committee, approved the appointment of Mr. B Ramkumar as Chief Risk Officer, one of the Key Managerial Personnel, of the Company effective today.

Brief Profile of Mr. Priyaranjan:

Mr. Priyaranjan heads the Business Finance, Treasury, and Information Systems teams in Sasken. He is a finance professional with more than two decades of experience and has played various leadership roles in the Finance domain covering Corporate Finance, Business Controlling, Management Accounting, Treasury, Risk Management, and Internal Controls.

He has led a range of cross functional teams covering Business Excellence, Business Forecasting, Sales Operations, Business Finance, and Physical/Digital infrastructure and have experience of working in a multi-cultural environment. He has been a part of various transformative initiatives such as Overseas acquisitions, ERP transformation, etc. In the past, he has worked with ABB Limited and Nokia Siemens Network Private Limited.

He is a Chartered Accountant and holds a bachelor’s degree in Mathematics & Statistics. He is a CGMA designation holder and an associate member of CIMA. In 2014, he was named in the ‘CFO Next 100’ list by CFO India magazine.

Brief Profile of Mr. B. Ramkumar:

Mr. B. Ramkumar is currently responsible for Financial Accounting, Systems & Control, Legal, Risk Management, Procurement & Logistics and Taxation in Sasken. In addition to this he has handled Treasury and Information Systems functions in the past. He focuses on business processes and on using tax, legal and Information Systems to enhance business value. Additionally, he is also a Trustee in the PF Trusts which Sasken has for ensuring retirement benefits for employees and Sasken Foundation, the Trust for CSR activities. He is a qualified Chartered Accountant, Cost Accountant and holds a Diploma in Management from INSEAD, France.

He has over 34 years of work experience in several industries. He began his career in the Internal Audit function in Madras Cements Limited before assuming responsibility for the Financial / Commercial & Cost Accounting and taxation functions. He then moved on to BPL Mobile Cellular Limited where he was the Corporate Controller and was also responsible for operations in two circles before joining Sasken in 2004. He was part of the core team which was involved in Sasken’s IPO in 2005 and was also part of the team responsible for various acquisitions.
