Sub: Intimation pursuant to Regulation 30 of SEBI Listing Regulations in respect of resignation by the Independent Director of the Company
Ref: Scrip Code 532663/ SASKEN
Pursuant to SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015, we wish to inform that Prof. J Ramachandran (DIN: 00004593), one of the Non-Executive Independent Directors of the Company, has resigned as an Independent Director of the Company effective February 26, 2020. The reason stated in his resignation letter is –
‘The last year has been challenging in terms of demands on my time – you would have noticed I have not been able to attend many of the Board meetings this year – and as a consequence I have not been able to do justice to my responsibility (whatever they are) as a member of the Company’s Board. I would therefore like to step down from the Board. ’
The confirmation provided by the Prof. J Ramachandran that there are no other material reasons other than those provided in his resignation letter is enclosed. The particulars required under SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015 are as under:
