Additional Explanations

Şirketimizin bugün yapılan Genel Kurul toplantısında aşağıdaki karar verilmiştir;

Sermaye Piyasası Kurulu'nun Seri II, 14.1 No'lu "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" uyarınca hazırlanan ve PwC Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. tarafından denetlenen 01.01.2016 - 31.12.2016 hesap dönemine ait şirket finansal tablolarına göre 137.508.073,62 TL Konsolide Net Dönem Kârı elde edilmiştir.

Aşağıdaki kar dağıtım tablosunda açıklandığı üzere; SPK Mevzuatına uygun olarak hesaplanan 2016 yılı Konsolide Net Dönem Karından Esas Sözleşmenin 31. Maddesi gereği ve SPK tebliğlerine uygun olarak 6.139.672,42 TL Genel Kanuni Yedek Akçe (1.Tertip) ayrıldıktan ve 29.934.507,75 TL geçmiş yıl zararları düşüldükten sonra kalan 101.433.893,45 TL tutarında Net Dağıtılabilir Dönem Kârının aşağıdaki şekilde dağıtılmasına,

İkinci Kâr Payı 43.100.085,07 TL

Toplam Brüt Kâr Payı 93.877.630,41 TL

Kar dağıtımının yukarıdaki esaslara göre yapılması neticesinde, Vergi Usul Kanunu hükümlerine göre hazırlanan yasal kayıtlarımız esas alındığında ise;

Yasal kayıtlarımızda yer alan 122.793.448,41 TL. Net Dönem Karından 6.139.672,42 TL Genel Kanuni Yedek Akçe (1.Tertip) ayrılmasına, 93.877.630,41 TL. Brüt Kar Payı dağıtılmasına, 7.556.263,04 TL Genel Kanuni Yedek Akçe (2.Tertip) ayrılmasına, 15.219.882,54 TL'nin de Olağanüstü Yedek olarak ayrılmasına,

Böylelikle, 2016 yılı için, 366.300.000 TL sermayeyi temsil eden pay sahiplerine hukuki durumlarına bağlı olarak % 25,6286 (Brüt), % 21,7843 (Net) oranında toplam 93.877.630,41 TL Kar Payının 14 Nisan 2017 tarihinden itibaren nakden dağıtılması hususu 30 Mart 2017 tarihinde yapılan olan Olağan Genel Kurul'da onaylanmıştır.
