Satisfaction of a condition precedent relating to antitrust proceedings

Milan, June 6, 2024 – As of today, Vitol B.V. has received merger control clearance from the European Commission, for the acquisition of a controlling shareholding in Saras S.p.A. (the "Transaction").

The Transaction was announced to the market on February 11, 2024.

The obtainment of merger control clearance was one of the conditions to completion of the Transaction (i.e. closing). For further information on closing and on the other conditions precedent of the Transaction, please refer to the press releases published on February 11, 2024 and April 26, 2024.
