The notifying party participates in the SAP Saving For Stock Program for Subsidized Shares, an employee saving program of SAP. In this context he agreed with SAP to purchase treasury shares of SAP SE for a monthly amount of 605 Euro. Such purchases will be funded by SAP by granting a 15% discount on the purchase price of the SAP shares. The designated amount will be withheld from the notifying party’s monthly base salary. On a monthly basis, the purchased SAP shares will be transferred to the notifying party’s deposit account by the bank acting as administrator of the plan. The purchase price of the purchased SAP shares will be the middle closing price of the SAP share in the XETRA trading system on three defined trading days, less the 15% discount granted by SAP under the plan. The number of SAP shares purchased in one month will be calculated by dividing the monthly saving amount by the discounted purchase price.
