NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001 (CTH)

Santos Limited (ASX Code: STO) (“Santos”) has issued 73,529,412 ordinary shares in Santos to United Faith Ventures Limited, an affiliate of the China-based international private equity firm, Hony Capital (“Placement”), as announced to ASX on Monday, 9 November 2015.

Santos gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) “Act” that:

• (a) Santos issued 73,529,412 ordinary shares in Santos under the Placement without disclosure to investors under Part 6D.2 of the Act;

• (b) as at the date of this notice, Santos has complied with:

  • (1) the provisions of Chapter 2M of the Act as they apply to Santos; and

  • (2) section 674 of the Act; and

• (c) as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of section 708A(7) of the Act.
