Off Market Takeover Bid for all the ordinary shares in EZA Corporation Limited (ACN 151 155 734) (EZA)

Mercantile OFM Pty Ltd (ACN 120 221 623) ( Mercantile OFM ) refers to the offers dated 1 March 2017 (Offers) under its takeover bid for all the issued ordinary shares in EZA, which are contained in bidder’s statement from Mercantile OFM dated 10 February 2017 ( Bidder’s Statement ).

Mercantile OFM attaches a copy of a notice of status of defeating condition ( Condition Notice ) dated 30 March 2017.

Withdrawal of Extension: Offer will close on 3 April 2017

Mercantile OFM also notifies EZA shareholders that today it has withdrawn the notice of variation released to the ASX on 28 March 2017. This notice purported to vary the Offers by extending the offer period under the Bidder’s Statement until 13 April 2017.

As a result of this withdrawal, the offer period will close at 7.00pm on 3 April 2017 .

Notice of Status of Defeating Condition

To: EZA Corporation Limited (ACN 151 155 734) ( EZA )

And to: ASX Limited

This notice of status of defeating condition ( Condition Notice ) is given under Section 630(3) of the Corporations Act 2001 (Cth) ( Corporations Act ) by Mercantile OFM Pty Ltd (ACN 120 221 623) ( Mercantile OFM ) in relation to offers dated 1 March 2017 ( Offers ) under its takeover bid for all the issued ordinary shares in EZA Corporation Limited (ACN 151 155 734) ( EZA ), which are contained in bidder’s statement from Mercantile OFM dated 10 February 2017 ( Bidder’s Statement ). Words defined in the Bidder’s Statement have the same meaning in this notice, unless the context requires otherwise.

Status of Defeating Condition

Mercantile OFM gives notice that its Offers in relation to the ordinary shares in EZA remain subject to the condition set out in Section 9.1 of the Bidder’s Statement and that condition has not been fulfilled or waived.

As at 27 March 2017, and as at the date of this notice, Mercantile OFM’s voting power in EZA was 4.7% comprising 2,870,575 EZA shares.
