Mercantile OFM Declares its Offer for ordinary shares in EZA Corporation Limited Unconditional

Mercantile OFM Pty Ltd (ACN 120 221 623) ( Mercantile OFM ) refers to the offers dated 8 June 2017 ( Offer ) under its off-market takeover bid for all the issued ordinary shares in EZA Corporation Limited (ACN 151 155 734) ( EZA ), which are contained in the bidder’s statement from Mercantile OFM dated 24 May 2017 ( Bidder’s Statement ).

Mercantile OFM advises that the Offer closed on 1 August 2017.

Mercantile OFM attaches copy of a notice given under Section 650F of the Corporations Act 2001 (Cth) declaring the Offer unconditional and free from the defeating condition set out in Section 9.1 of the Bidder’s Statement.

Each EZA Shareholder who validly accepted the Offer before the end of the Offer period will have payment of cash consideration for the Offer despatched to them by 23 August 2017.

Notice under Section 650F of the Corporations Act: Declaring Offer Free of Condition

This notice declaring offer free of condition ( Notice ) is given under Section 650F of the Corporations Act 2001 (Cth) ( Corporations Act ) by Mercantile OFM Pty Ltd (ACN 120 221 623) ( Mercantile OFM ) in relation to offers dated 8 June 2017 ( Offers ) under its takeover bid for all the issued ordinary shares in EZA Corporation Limited (ACN 151 155 734) ( EZA ), which are contained in bidder’s statement from Mercantile OFM dated 24 May 2017 ( Bidder’s Statement ).

Words defined in the Bidder’s Statement have the same meaning in this notice, unless the context requires otherwise.

Mercantile OFM declares each of the Offers and each contract formed by the acceptance of any of those Offers to be free from the condition set out in Section 9.1 of the Bidder’s Statement.

As at the date of this Notice, Mercantile OFM’s voting power in EZA was 13.10% comprising 8,001,230 EZA shares.
