Subject: Intimation regarding Grant of stock options and Exercise of options under Sansera Engineering Limited Employees Stock Option Plan 2018 (“ESOP 2018”)

Pursuant to applicable provisions of Regulation 30 of Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulation, 2015 (“Listing Regulations”) including amendments from time to time, we wish to inform you that the Nomination and Remuneration Committee of the Board of Directors of the Company today approved the following under Sansera Engineering Limited Employee Stock Option Scheme Plan 2018 (“ESOP 2018”):

1) Grant of 75,500 stock options under ESOP 2018 Plan as per detail given below:

a) Rs.1,237.00 per option for 28,000 options and

b) Rs.1,555.90 per option for 47,500 options.

The disclosure as required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 is enclosed herewith as Annexure-1 ; and

2) Allotment of 1,28,519 equity shares of Rs.2/- each on exercise of vested options. The shares so allotted shall rank pari passu with the existing equity shares of the Company in all respects including dividend. The details as required under Regulation 10(c) of SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 is enclosed as Annexure - 2 .
