Sub.: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015

Pursuant to Regulation 30 (item 14 of Para A of Schedule III) and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that the shareholders at their 42[nd] Annual General Meeting held today, September 26, 2024 at 03:00 p.m. through video conferencing (‘VC’)/ Other Audio-Visual Means (‘OAVM’) facility have approved the alteration in the Memorandum of Association (MOA) of the Company by passing an ordinary resolution thereby substituting Clause V of the Memorandum of Association therein as given below:

V. The Authorised Share Capital of the Company is Rs. 30,50,00,000.00 (Rupees Thirty Crores and Fifty Lakhs Only) divided into 10,00,00,000 Equity shares of Rs. 2/- each, 300,000 Series A compulsorily convertible preference shares of Rs. 100/- each and 750,000 Series B compulsorily convertible preference shares of Rs. 100/- each.
