Sanofi-aventis' Combined General Shareholder Meeting to be held May 17, 2010

- Information available concerning the General Meeting -

Sanofi-aventis' Combined General Shareholder Meeting will take place on Monday, May 17, 2010 at 3:00 p.m, in Paris, France at Palais des Congrès – 2, place de la Porte Maillot at Paris 17ème.

Documents and information regarding the General Meeting are available on the Company website at: en.sanofi-aventis.com (under Investors/General Meeting 2010). Meeting announcements published in the March 17, 2010 issue of the Bulletin des Annonces Légales Obligatoires, includes the agenda, draft resolutions and information regarding attendance and voting rights at the General Meeting.

All the documentation regarding the General Meeting will be made available to shareholders in accordance with current regulations.

At the meeting, a proxy card will be addressed by JPMorgan Chase Bank, N.A. to holders of American Depositary Receipts regarding the voting of American Depositary Receipts.
