Combined General Meeting of May 17, 2010

Following the withdrawal by Catherine Bréchignac of her candidature for the position of Director on the sanofi-aventis Board of Directors for personal reasons, the sanofi-aventis Board of Directors meeting held on April 28, 2010 resolved not to propose a new director to the general shareholders meeting. As a result, the sixth resolution is moot, and is deleted with no effect on the numbering of the remaining resolutions. The agenda has been modified accordingly.
