Combined General Shareholder Meeting of May 17, 2010

• ¾ Serge Weinberg appointed Chairman of the Board of Directors
• ¾ Jean-François Dehecq appointed Honorary Chairman of sanofi-aventis
• ¾ 2.40 Euros per share dividend (+9.1%) payable on May 25, 2010

Paris, France – May 17, 2010 – The Combined General Shareholder Meeting was held today at the Palais des Congrès in Paris.

The meeting approved the corporate and consolidated financial statements for 2009 and authorised distribution of a 2.40 Euros per share dividend, a 9.1% increase compared with the previous financial year. The detachment date set by Euronext Paris is May 20, 2010 with payment on May 25, 2010.

The General Meeting also ratified the co-optation of Serge Weinberg as Board Member and renewed the mandates of Robert Castaigne, Lord Douro, Christian Mulliez and Christopher A. Viehbacher.

All of the resolutions were adopted. The voting results will be available on the Company's website www.sanofi-aventis.com in the coming days.

In a meeting held following the General Meeting, the Board of Directors appointed Serge Weinberg to the position of Chairman of the Board of Directors.

Jean-François Dehecq, who becomes President of the Sanofi Espoir Foundation, was appointed Honorary Chairman of sanofi-aventis and has decided to resign from his responsibilities as a Board Member.

"37 years after the creation of Sanofi, I leave my post as Chairman of your Group after this new record year in terms of results. I leave with confidence in the collaboration of Serge Weinberg and Chris Viehbacher to lead sanofi-aventis to further successes", said Jean-François Dehecq.
