Subject: Postal Ballot Notice – Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing ” Regulations ).
Dear Sirs,
In terms of Regulation 30 of the SEBI Listing Regulations, we hereby inform that the Board of Directors through resolution by Circulation dated 14[th] February 2022, approved conducting of Postal Ballot for seeking the approval of members for Material Related Party Transaction(s) with Sanofi Healthcare India Private Limited, Related Party of the Company, by passing an Ordinary Resolution.
The Board of Directors have also appointed Mr. Makarand M. Joshi, Partner or failing him Ms. Kumudini Bhalerao, Partner at M/s Makarand M. Joshi & Co., Practicing Company Secretaries, who have given the consent to act as the Scrutinizer, for conducting the Postal Ballot process.
The Company shall further intimate the Stock Exchanges on dispatch of the Postal Ballot notice.
The Calendar of Events for the proposed postal ballot process is attached for your reference.
