This announcement is made by Pacific Plywood Holdings Limited (the “ Company ”) pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”) and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong) (the “ SFO ”).

Refence is made to the announcement of the Company dated 6 May 2016. Allied Summit Inc. (“ Allied Summit ”), the controlling shareholder (as defined in the Listing Rules) of the Company, has further informed the Company that although it was preliminarily approached by independent third parties who expressed interest in acquiring securities of the Company (the “ Potential Purchasers ”), the aforementioned discussions have been at an initial stage and if materialised and completed, shall not lead to a change in control of the Company and/or any of the Potential Purchasers being required to make an offer under the The Hong Kong Code on Takeovers and Mergers.

Further announcement(s) will be made by the Company as and when appropriate under the Listing Rules and/or the SFO.
