On January 22, 2013, TPG-Axon Management LP and its affiliates (collectively, "TPG-Axon") commenced the mailing of its consent materials to stockholders of SandRidge Energy, Inc. Such materials included a letter urging stockholders to support TPG-Axon in its consent solicitation. A copy of the letter is attached hereto as Exhibit 1.

On January 22, 2013, TPG-Axon issued a press release announcing the foregoing mailing, a copy of which is attached hereto as Exhibit 2.
