Ref.: Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations")

Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI Listing Regulations, we hereby inform you that the Board of Directors of the Company, at its meeting held today, i.e., Thursday, March 26, 2026, which commenced at 03:00 P.M. and concluded at 05:15 P.M., has, inter alia, considered and approved a proposal to establish an assembling/manufacturing facility for the Company’s automotive business in Mexico.

The proposed expansion will be undertaken either through setting up a branch office or incorporation of a wholly owned subsidiary or such other entity as may be permissible under the applicable laws of Mexico, with the objective of strengthening the Company’s international presence, enhancing proximity to key customers and OEMs, and achieving operational and supply chain efficiencies.

Detailed disclosure under Regulation 30 of the SEBI Listing Regulations shall be made upon finalization of the structure and receipt of all requisite regulatory and statutory approvals in relation to the proposed expansion.
