CLEANSING NOTICE UNDER SECTION 708A(5) OF THE CORPORATIONS ACT

This notice is given by Sandfire Resources Limited (ABN 55 105 154 185) (ASX:SFR) ( Sandfire or the Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Sandfire refers to its announcement on 6 February 2026 regarding the execution of definitive transaction agreements with Havilah Resources Limited to advance the Kalkaroo Copper-Gold Project (Kalkaroo) and establish an exploration strategic alliance across the highly prospective Curnamona Province in South Australia ( Transaction )[1] . As part of the upfront consideration Sandfire has today issued 4,640,833 fully paid ordinary shares in the capital of Sandfire ( New Shares ) to Havilah Resources Limited.

As at the date of this notice, Sandfire confirms that:

1. The New Shares were issued without disclosure under Part 6D.2 of the Corporations Act.

2. The Company has complied with:

   • a) the provisions of Chapter 2M of the Corporations Act as they apply to Sandfire;

   • b) sections 674 and 674A of the Corporations Act as it applies to Sandfire; and

   • c) there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act that is required to be set out in this notice under section 708A(6)(e) of the Corporations Act.
