OCEAN SHORES GROUP LIMITED<0764> - Announcement Ocean Shores Group Limited (Incorporated in Bermuda with limited liability) Announcement The Directors wish to clarify the description of certain legal action stated in the Prospectus of the Company dated 27th January, 2000. The directors of the Company (the "Directors") refer to the announcement of Ocean Shores Group Limited (the "Company") dated 27th January, 2000 in relation to, inter alia, the new issue and offer for sale by the Company of shares of HK$0.10 each in the capital of the Company as described in the prospectus of the Company dated 27th January, 2000 (the "Prospectus"). Terms defined in the Prospectus shall, unless the context otherwise requires, have the same meanings when used herein. The Directors wish to clarify the description in respect of the High Court action commenced against OSV by Media Assets (BVI) Limited and others, as referred to in paragraph 19(iv) in appendix 5 to the Prospectus as follows:- (a) one of the plaintiffs mentioned is Media Assets (BVI) Limited, not "Media Asia (BVI) Limited"; (b) the Prospectus refers to infringement of 14 film titles, as opposed to the correct figure of 16; and (c) the plaintiffs are claiming damages or an account of profits and not "unpaid royalties". The Directors have received legal advice that the discrepancies mentioned above are, in the context of disclosure for the purposes of the Prospectus, immaterial. Based on the legal advice received by the Company, the Directors confirm the statement made in the Prospectus that the Directors considered that the financial impact of the final outcome of the legal proceedings set out in paragraph 19 in appendix 5 of the Prospectus on the Group is immaterial remains accurate.
