JOINT ANNOUNCEMENT INSIDE INFORMATION

This announcement is made jointly by (i) Eternity Investment Limited ("Eternity", together with its subsidiaries, the "Eternity Group") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange") and Part XIVA of the Securities and Futures Ordinance (Cap. 571, the Laws of Hong Kong) (the "SFO"); and (ii) China AU Group Holdings Limited ("China AU") pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on the Growth Enterprise Market of the Stock Exchange (the "GEM Listing Rules") and Part XIVA of the SFO.

The Eternity Group and China AU are in negotiations for a potential subscription (the "Potential Subscription") by the Eternity Group for convertible bonds to be issued by China AU. As at the date of this announcement, no definitive agreement in relation to the Potential Subscription has been entered into between the Eternity Group and China AU. In the event that any written agreement has been entered into in respect of the Potential Subscription, Eternity and China AU will make further announcement and necessary disclosure informing their respective shareholders and potential investors of the progress of the matter as and when necessary in compliance with the Listing Rules or the GEM Listing Rules (as the case may be).

As at the date of this announcement, the board of directors of Eternity comprises three executive directors, namely, Mr. Lei Hong Wai, Mr. Cheung Kwok Wai, Elton and Mr. Chan Kin Wah, Billy; one non-executive director, namely, Mr. Cheung Kwok Fan; and three independent non-executive directors, namely, Mr. Wan Shing Chi, Mr. Ng Heung Yan and Mr. Wong Tak Chuen.

As at the date of this announcement, the board of directors of China AU comprises four executive directors, namely Mr. Yu Shu Kuen, Mr. Wang Xiaofei (with Mr. Lee Chan Wah as alternate), Mr. Wang Shangzhong and Mr. Lee Chan Wah; one non-executive director, namely Mr. Du Juanhong; and three independent non-executive directors, namely Mr. Tam B Ray Billy, Mr. Chu Kin Wang Peleus and Mr. Tse Joseph.

This announcement, for which the directors of China AU collectively and individually accept full responsibility, includes particulars given in compliance with the GEM Listing Rules for the purpose of giving information with regard to China AU. The directors of China AU, having made all reasonable enquiries, confirm that to the best of their knowledge and belief the information contained in this announcement is accurate and complete in all material respects and not misleading or deceptive, and there are no other matters the omission of which would make any statement herein or this announcement misleading.
