CHANGE OF COMPANY SECRETARY

The Board of Directors (the “Board”) announces that Mr. Chu Wai Man, Raymond (朱偉民) (“Mr. Chu”) has resigned as the company secretary of Riche Multi-Media Holdings Limited (the “Company”) with effect from 31 January 2005. The Board would like to express its sincere gratitude to Mr. Chu for his valuable contribution to the Company during the tenure of his service.

Mr. Chu confirms that he has no claim against the Company whatsoever whether in respect of fees, remuneration or compensation for the loss of office and that he is not in any disagreement with the Board and there is no other matter with respect to his resignation that requires to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited.

The Board further announces that Mr. Chan Kin Wah, Billy (陳健華) (“Mr. Chan”) has been appointed as the company secretary of the Company with effect from 31 January 2005.

Mr. Chan has over ten years of working experience in company secretarial, accounting and finance. He is a member of the Hong Kong Institute of Certified Public Accountants, a CPA member of CPA Australia and a non-practicing member of the Chinese Institute of Certified Public Accountants. Mr. Chan has been the Chief Financial Officer of the Company since 2003.

As at the date of this announcement the executive directors of the Company are Mr. Heung Wah Keung, Ms. Chen Ming Yin, Tiffany and Mr. Lei Hong Wai and the independent non-executive directors of the Company are Mr. Lai Hok Lim, Mr. Tang Chak Lam, Gilbert and Mr. Ho Wai Chi, Paul.
