ANNOUNCEMENT

The Board of Directors (the "Board") of Riche Multi-Media Holdings Limited (the "Company") announces that Mr. Lei Hong Wai has resigned as an executive director of the Company with effect from 13 October 2005 due to personal reasons.

Mr. Lei has confirmed that there are no matters which need to be brought to the attention of holders of securities of the Company.

The Board would like to take this opportunity to express its gratitude to Mr. Lei for his valuable contribution and guidance to the Company during his tenure of office.
