ANNOUNCEMENT OF MATERIAL EVENT

Sonae Capital hereby inform that, following Efanor's intention to sell, it has acquired yesterday, for 1 euro, the operation of "Aqualuz Suite Hotel Lagos". To date, the "Aqualuz Suite Hotel Lagos" Hotel operation was fully owned by Aqualuz – Turismo e Lazer, Lda (a subsidiary from Efanor Investimentos, SGPS, S.A.).

During the last years, the operation of "Aqualuz Suite Hotel Lagos" Hotel has been evolving in line with the Hospitality sector in Portugal, showing noteworthy improvements in the operating and financial results. Therefore, the integration of this operation in the Hospitality segment will benefit the current portfolio by adding a new Hotel in the sun and sea segment, with positive EBITDA contribution that will help mitigating the network effect the business still lacks.

It should be noted that the real estate asset where the Hotel operates is owned by Sonae Capital Group, specifically by its subsidiary Bloco Q – Sociedade Imobiliária, S.A..

This transaction will have effect from January 1st 2019.
