ANNOUNCEMENT OF MATERIAL EVENT

ACQUISITION OF FUTURA ENERGÍA INVERSIONES, S.L.

Sonae Capital hereby informs that its subsidiary, CapWatt, SGPS, S.A. has submitted a binding offer for the acquisition of 100% of the share capital of Futura Energía Inversiones, S.L. and its subsidiaries ("Futura Group"), which was accepted by its shareholders.

Established and managed by a group of professionals with long experience and track record in the Energy sector, particularly in the trading and sale of natural gas, carbon emission rights and electric energy, Futura Group develops its activity through four subsidiary companies:

• Futura Carbono– trading of carbon emissions rights;
• Futura Energía y Gas– trading and sale of natural gas in the B2B segment;
• Futura Green Renewables – trading of renewable energy and client representation, by combining a group of photovoltaic and cogeneration units;
• Ecofutura Luz Energía – sale of electric energy in the B2B segment.

This acquisition is part of Sonae Capital's Energy segment growth strategy, and aims improving its competences in the: (i) sourcing of natural gas and carbon emissions rights, and (ii) sale of the electric energy produced, in a scenario without feed-in tariffs.

The EV of this operation amounts to 4.5 million euros, of which 2.8 million euros will be paid in the completion of the transaction and the remainder will be deferred for a period of three years, depending on a group of predefined KPIs.

This operation is subject to the clearance of the Competition Authorities in Spain and Portugal, among other conditions.
