We wish to inform in terms of Regulation 30 of SEBI (Listing obligations and Disclosure Requirements) Regulations 2015 that the Board of Directors of the Company, at their meeting held on February 08,2019 has approved and decided to call and convene an Extra Ordinary General Meeting ("EGM") of the Members of the Company on March 25,2019, Monday at the registered office of the Company at 10.00 A.M for seeking their approval on :-

• 1. Continuation of the office of Non Executive and Independent Directors, who have attained the Age of 75 year, in the present term of their office after April 1,2019 in compliance with Regulation 17(1A) of SEBI (Listing Obligations and Disclosure Requirements) (Amendment) Regulations, 2018 as notified by SEBI on May 09,2018 and
• 1. Re-appointment of Non-Executive and Independent Directors to hold office for the second term of 5 consecutive years in terms of Section 149(10) of the Companies Act 2013.

The EGM Notice along with related explanatory statement will be circulated among the Members by prescribed mode in due course of time.
