SUB: Disclosure under Regulation 30 of Schedule III of SEBI (LODR) Regulations, 2015-Approval of Scheme of Amalgamation of EMC Limited with Salasar Techno Engineering Limited (STEL) by NCLT, Kolkata Bench

Dear Sir/ Madam,

Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Hon'ble National Company Law Tribunal, Kolkata Bench-II, Kolkata, vide its Order dated May 22, 2026 (date of pronouncement), has sanctioned the Scheme of Amalgamation of EMC Limited ("Transferor Company") with Salasar Techno Engineering Limited ("Transferee Company"). The Appointed Date of the Scheme is October 23, 2024. We are in the process of obtaining the certified copy of the NCLT Order for onward filing with the Registrar of Companies, Kolkata.

It may be noted that the Hon'ble National Company Law Tribunal, Allahabad Bench, Prayagraj, has already approved the aforesaid Scheme of Amalgamation on the petition filed by Salasar Techno Engineering Limited.

On filing of the certified copy of the Order with the Registrar of Companies, EMC Limited shall stand dissolved without winding up.

The Company shall keep the Stock Exchange(s) informed of any further developments in the above matter, in compliance with the applicable provisions of the SEBI Regulations.
