Sub: Disclosure under Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirement) Regulations. 2015

This is in further to our earlier intimation on May 10, 2024 relating to Scheme of Amalgamation(‘Scheme’) between Dreamorbit Softech Private Limited (Transferor Company 1), Threesixty Logica Testing Services Private Limited (Transferor Company 2) and Terafast Networks Private Limited (Transferor Company 3), together referred to as the Transferor Companies, into and with Saksoft Limited (‘Transferee Company’) and their respective shareholders subject to regulatory approvals .

We hereby inform that the Hon'ble National Company Law Tribunal (`NCLT'), Chennai Bench have vide their Order dated March 21, 2025(‘Order’) in the petition no. CP(CAA)/64(CHE)/2024 read with application no. CA(CAA)/34(CHE)/2024, sanctioned the aforesaid Scheme of Amalgamation.

The detailed Order uploaded earlier today is available on the website of the NCLT https://efiling.nclt.gov.in/nclt/public/case_status.php

The `Appointed Date' for the Scheme is April 01, 2024. The Scheme will be effective from the date on which the certified copy of the aforementioned Order of Hon'ble NCLT is filed with Registrar of Companies, Chennai.

The Effective Date will be communicated to the stock exchange(s) for further public dissemination as and when the Order is filed and the Scheme becomes effective.
