San Donato Milanese (Milano), 28 luglio 2016 – Saipem S.p.A. comunica che, a partire dalla data odierna, prende avvio il programma ("il Programma") di acquisto di azioni ordinarie Saipem, deliberato dall'Assemblea degli Azionisti il 29 aprile 2016.
Il Programma ha ad oggetto l'acquisto di azioni proprie destinate al Piano di Incentivazione di Lungo Termine 2016-2018 (il 'Piano') - per l'attribuzione 2016 - come approvato dall'Assemblea, ai sensi dell'art. 84-bis, comma 2, del Regolamento Emittenti e dell'art. 114-bis del TUF.
La delibera assembleare consente l'acquisto di un numero massimo di 85.000.000 di azioni (pari a circa lo 0,84% del capitale sociale) in una o più volte, per un periodo massimo di 18 mesi e per un ammontare comunque non superiore ad Euro 42.500.000.
L'acquisto delle azioni avverrà tramite il conferimento di specifico mandato di incarico a un intermediario abilitato, che effettuerà gli acquisti in piena indipendenza e senza alcuna influenza da parte di Saipem S.p.A. per quanto riguarda il momento dell'acquisto delle stesse e le relative condizioni. Gli acquisti saranno effettuati in una o più operazioni sul Mercato Telematico Azionario regolamentato, ad un corrispettivo unitario pari al prezzo ufficiale di Borsa registrato dal titolo nella seduta di Borsa precedente ogni singola operazione, in misura non inferiore nel minimo e non superiore nel massimo del 5% rispetto al predetto prezzo ufficiale, secondo le modalità operative stabilite nei regolamenti di organizzazione e gestione di Borsa Italiana S.p.A..
Le operazioni di acquisto delle azioni in esecuzione del Programma saranno, inoltre, effettuate con le modalità previste dall'articolo 144-bis, primo comma, lett. b), del Regolamento Emittenti, nonché in conformità alle disposizioni comunitarie vigenti in materia di safe harbour ed alle prassi di mercato ammesse dalla CONSOB ai sensi dell'art. 180, primo comma, lett. c), del Testo Unico della Finanza.
Si informa, infine, che nell'ambito del suddetto Programma, si provvederà a comunicare alla CONSOB e al mercato, entro il settimo giorno di borsa aperta successivo alla data di esecuzione di ciascuna operazione, le seguenti informazioni: il numero di azioni acquistate, la data di ogni acquisto, il prezzo medio, e il numero cumulato di azioni acquisite alla data della comunicazione.
Si precisa che alla data odierna Saipem detiene n. 1.939.832 azioni proprie, pari allo 0,0191% del capitale sociale, e non vi sono azioni proprie detenute per il tramite di società controllate, fiduciarie o interposta persona.

San Donato Milanese (Milan), July 28, 2016 – Saipem S.p.A. has as of today launched the buy-back programme (the "Programme") for Saipem ordinary shares approved by the Shareholders' Meeting on April 29, 2016.
The Programme regards the acquisition of the Company's own shares to cover the 2016 allocation of the 2016-2018 Long Term Incentive Plan (the 'Plan'), as approved by the Shareholders' Meeting, pursuant to article 84-bis, paragraph 2 of the Issuers' Regulation and article 114-bis of Italian Legislative Decree 58/98.
The resolution approved by the Shareholders' Meeting allows for the purchase of a maximum number of 85,000,000 shares (corresponding to approximately 0.84% of the Company's share capital) in one or more tranches, for a maximum period of 18 months, and for an amount no greater than Euro 42,500,000.
Purchase of the shares will take place through the granting of a specific mandate to an authorized intermediary, which will carry out the purchases in complete independence and without any influence whatsoever from Saipem S.p.A. in relation to the timing of the purchases or the conditions thereof. Purchases will be carried out in one or more tranches on the regulated Computerized Trading Market, at a unit price equal to the official stock exchange price recorded on the day prior to each transaction, plus or minus 5% for the maximum and minimum price respectively, in accordance with the methods and operational procedures established in Borsa Italiana S.p.A.'s regulations.
The buy-back transactions under the Programme will be executed in accordance with the procedures set out in article 144-bis, paragraph 1, letter b) of the Issuers' Regulations, as well as in compliance with the applicable European Union Safe Harbour provisions and the market practices allowed by Consob pursuant to article 180, paragraph 1, letter c), of Italian Legislative Decree 58/98.
Saipem will disclose the following details of transactions executed under the Programme to CONSOB and to the market no later than the seventh daily market session following the date of execution of each transaction: the number of shares purchased, the date of each purchase, the average price, and the cumulative number of shares purchased as at the date of the disclosure.
As of today, Saipem holds 1,939,832 treasury shares, corresponding to 0.0191% of the Company's share capital. No treasury shares are held through subsidiary companies, fiduciaries or intermediaries.
