Variazione capitale sociale
San Donato Milanese (MI), 19 luglio 2022 - Saipem S.p.A. ("Saipem") comunica, ai sensi dell'articolo 85-bis del Regolamento Emittenti, adottato dalla Consob con delibera n. 11971/1999, la nuova composizione del capitale sociale di Saipem (interamente sottoscritto e versato) a seguito dall'aumento di capitale a pagamento, in via inscindibile, per un importo comprensivo di sovrapprezzo di Euro 1.999.993.686,59 (ammontare risultante dall'arrotondamento per difetto di Euro 2 miliardi a seguito della determinazione del prezzo di offerta e del numero di azioni oggetto della medesima), deliberato dal Consiglio di Amministrazione della Società in data 21 giugno 2022, in esecuzione della delega allo stesso attribuita ai sensi dell'art. 2443 cod. civ. dall'Assemblea Straordinaria del 17 maggio 2022 (l'"Aumento di Capitale").
L'attestazione relativa al nuovo ammontare del capitale sociale è stata depositata per l'iscrizione presso il Registro delle Imprese di Milano Monza Brianza Lodi in data 19 luglio 2022.

Share capital variation
San Donato Milanese (MI), July 19 2022 – Saipem S.p.A. ("Saipem") informs that, pursuant to art. 85-bis of Issuers' Regulations adopted by Consob through resolution no. 11971/1999, the new composition of Saipem share capital (fully subscribed and paid up) following the non-divisible capital increase against payment, for an amount including share premium of Euro 1,999,993,686.59 (amount of Euro 2 billion rounded down after determining the offer price and the number of new shares to be issued), approved by the Board of Directors of the Company on June 21, 2022, pursuant to the authorization granted by the Extraordinary Shareholders' Meeting held on May 17, 2022 pursuant to article 2443 of the Italian Civil Code (the "Capital Increase").
The statement concerning the new amount of the share capital was filed for registration with the Company Register of Milan Monza Brianza Lodi on July 19, 2022.
