CORRIGENDUM TO THE NOTICE OF THE 26[TH] ANNUAL GENERAL MEETING

The 26[th] Annual General Meeting (“ AGM ”) of the Members of Sai Life Sciences Limited (the “ Company ”) is scheduled to be held on Thursday, the 11[th] day of September, 2025 at 10:30 AM (IST) through Video conferencing (“ VC ”) / Other Audio Visual Means (“ OAVM ”) facility.

The notice of the AGM (“ AGM Notice ”) was dispatched to the Shareholders of the Company on August 18, 2025 in due compliance with the provisions of the Companies Act, 2013, and rules made thereunder, read with circulars issued by Ministry of Corporate Affairs and Securities Exchange Board of India and all other applicable provisions, to transact the business stated therein. Capitalized words and expressions used but not defined herein shall have the same meaning as assigned to them in the AGM Notice.

This Corrigendum to the AGM Notice (“ Corrigendum ”) is being issued in continuation to the AGM Notice to provide certain clarifications, with respect to below disclosure made under Items no. 4 and 5 of the Explanatory Statement to the AGM Notice.

Explanatory Statement of Items no. 4 and 5 of the AGM Notice – Re-appointment of Mr. Krishnam Raju Kanumuri (“Mr. Krishnam Raju”) as MD and CEO of the Company and approval for revision in remuneration payable to Mr. Krishnam Raju as MD and CEO of the Company

We would like to clarify that in relation to ‘Indicative PLI Parameters’ as set out in the explanatory statement to above-mentioned resolutions, Mr. Krishnam Raju Kanumuri will, each year, be eligible for a target PLI of between 3.25% to 3.5% of the net profits calculated as per audited financials for each financial year, i.e. profits after tax (‘ Target PLC’ ) on 100% achievement of the defined performance parameters set by the NRC and the Board for that fiscal year.

[To further clarify, there is no change in the threshold percentages in relation to (1) the net profits (i.e. 3.25% to 3.5%) or (2) the fixed salary (upto 300%), which will continue to apply for the determination of the performance linked incentive.]

MEMBERS ARE REQUESTED TO KINDLY TAKE NOTE OF THE AFORESAID BEFORE CASTING THEIR VOTES.

The Corrigendum to the AGM Notice shall form an integral part of the AGM Notice which has already been circulated to the Members of Company and on and from the date hereof, the AGM Notice shall always be read in conjunction with this Corrigendum. All other contents of the AGM Notice, save and except as clarified or supplemented by the Corrigendum, shall remain unchanged.
