Notification of Transactions of Persons Discharging Managerial Responsibilities

This notification relates to transactions notified in accordance with article 19 of the Market Abuse Regulation.

On 2 December 2020 the persons named below, who are Directors and members of the Executive Committee of Sage including a PCA ("PDMRs and PCA"), were granted awards over ordinary shares of 14/77 pence each in Sage under each of

·    The Sage 2016 Deferred Share Bonus Plan (DSBP);

·    The Sage Group plc 2015 Performance Share Plan (PSP); and

·    The Sage Group plc 2019 Restricted Share Plan (RSP)

respectively as shown below (the "Awards"). The maximum number of shares that may be acquired on the vesting of the Awards is specified opposite each participant's name below.

No price is payable either on the grant or vesting of the Awards.

The Awards will vest on 2 December 2023, subject, as applicable, to continued employment, performance conditions (applicable for PSP only) and satisfaction of financial underpin requirement (applicable for RSP only) unless indicated otherwise below.

* The PSP awards of Steve Hare and Jonathan Howell are subject to a two-year holding period after the vesting date with the vested shares scheduled to be released on 2 December 2025.

** The RSP award of Cath Keers will vest as set out below:

·    33,163 ordinary shares of 14/77 pence each in Sage will vest on 2 December 2022; and

·    66,326 ordinary shares of 14/77 pence each in Sage will vest on 2 December 2023.

*** Nikola McNicol-Kenney is a PCA to Lee Perkins and does not have a financial underpin requirement under her RSP award.

The Awards are subject to malus (withholding) and recovery (clawback).
