ASSET PURCHASE AGREEMENT

This Agreement is made as of the 17th day of May, 2024.

AMONG:

SAGA METALS CORP. , a corporation duly existing under the laws of British Columbia, having its registered office at 2288-1177 W Hastings St., Vancouver, British Columbia, V6E 2K3;

(the “ Purchaser ”)

AND:

DG RESOURCE MANAGEMENT LTD. , a corporation duly existing under the laws of Alberta, having its registered office at Suite 103, 10183 – 112 St NW, Edmonton, Alberta, T5K 1M1;

(“ DG Resource ”)

AND:

2551997 ALBERTA LTD. a corporation duly existing under the laws of Alberta, having its registered office at 2610-10111 104 AVE NW, Edmonton, Alberta, T5J OJ4;

(“ 2551997 Alberta ” and together with DG Resource, the “ Vendors ”)

WHEREAS:

A. Each of the Vendors is the holder of a 50% undivided ownership interest in the Claims (as hereinafter defined).
B. The Purchaser is currently undertaking the Going Public Transaction which it expects to successfully complete within 6 months of this Agreement.
C. Subject to the successful completion of the Going Public Transaction, the Vendors have agreed to sell all their right, title and interest in the Claims to the Purchaser and the Purchaser has agreed to purchase such interest, the whole as further provided in this Agreement.

THIS AGREEMENT WITNESSES THAT in consideration of the representations, warranties, covenants and agreements hereinafter set forth and for other good and valuable consideration (the receipt and sufficiency of which are hereby acknowledged) the Parties represent, warrant, covenant and agree as follows:

ARTICLE 1 INTERPRETATION

1.1 Definitions

(a) “ Act ” means the Income Tax Act (Canada) and the regulations adopted thereunder;
(b) “ Agreement ” means this Asset Purchase Agreement and all instruments supplemental hereto or in amendment or confirmation hereof; “herein”, “hereof”, “hereto”, “hereunder” and similar expressions mean and refer to this Agreement and not to any particular Article, Section or other subdivision; “Article”, “Section” or other subdivision of this Agreement means and refers to the specified Article, Section or other subdivision of this Agreement;
(c) “ Business Day ” means any day other than Saturday, Sunday or any statutory holiday in the province of Québec or the province of British Columbia;
(d) “ Cash Balance ” means the balance of the cash payment payable to the Vendors on the Closing Date, being an amount equal to $200,000 less the Initial Payment and Monthly Payments paid to the Vendors up to the Closing Date;
(e) “ Claims ” means the mining claims being sold by the Vendors to the Purchaser under this Agreement and listed in Schedule “A”;
(f) “ Closing ” means the completion on the Closing Date of the transactions set forth herein in accordance with Article 7;
(g) “ Closing Date ” means the date that is no later than five (5) days following the closing of the Going Public Transaction, and all documents agreed to be delivered hereunder have been delivered to the recipient, or such other date as the Parties may agree;
(h) “ Common Shares ” means the common shares in the capital of Purchaser;
(i) “ Consideration ” has the meaning ascribed thereto in Section 2.2;
(j) “ Consideration Shares ” means the issuance of 4,000,000 Common Shares;
(k) “ Contaminants ” means any substance or material that is prohibited, controlled or regulated under any applicable Environmental Law, including pollutants, contaminants, dangerous goods or substances, toxic or hazardous substances or materials or wastes, including solid non-hazardous wastes, hazardous wastes, wastewater, petroleum, its derivatives, by-products or other hydrocarbons, all as defined in or pursuant to any applicable Environmental Laws;
(l) “ Encumbrance ” means any registered or unregistered: security interest, mortgage, hypothec, pledge, assignment, lien, preference right, royalty, conditional sale or other title retention agreement, charge, trust or deemed trust (whether contractual, statutory or otherwise arising) or similar agreement, any servitude, encroachment or any other right or claim of others of any kind whatsoever affecting the Claims and any covenant or other agreement, restriction or limitation on the use or transfer of the Claims;

(m) “ Environment ” means all components of the earth including all layers of the atmosphere (including ambient air), land (and all surface and subsurface soil, underground spaces and cavities and all land submerged under water), soil, water (including surface and underground water), all organic and inorganic matter, living organisms, animal life, vegetation and, for greater certainty, all the interacting natural systems that include components referred to above are comprised in the definition of “Environment”;
(n) “ Environmental Laws ” means any and all applicable Laws relating to the Environment, including those pertaining to the protection, investigation, remediation, restoration and clean up in connection with any presence, release, discharge, escape or disposal of Contaminants or relating to the manufacturing, processing, distribution, use, treatment, storage, disposal, transportation or handling of Contaminants, public health, pollution or civil responsibility for acts and omissions with respect to the Environment. “Environmental Law” means any one of them;
(o) “ Exchange ” means the TSX Venture Exchange;
(p) “ Going Public Transaction ” means the closing of the Purchaser’s initial public offering or any other transaction resulting in the listing of the Purchaser’s Common Shares on the Exchange;
(q) “ GOR ” means a gross overriding royalty;
(r) “ Governmental Authority ” means any (i) multinational, national, federal, provincial, state, municipal, special administrative region, local or other governmental or public department, central bank, court, commission, board, bureau, agency or instrumentality, domestic or foreign, (ii) any subdivision or authority of any of the foregoing, or (iii) any quasi-governmental or private body exercising any regulatory, expropriation or taxing authority under or for the account of any of the above;
(s) “ Initial Payment ” means the $10,000 cash payment payable to the Vendors on the date hereof;
(t) “ Laws ” means (i) all constitutions, treaties, laws, statutes, codes, ordinances, orders, decrees, rules, regulations, and municipal by-laws, whether domestic, foreign or international; (ii) all judgments, orders, writs, injunctions, decisions, rulings, decrees, and awards of any Governmental Authority; (iii) all policies, practices and guidelines of any Governmental Authority or body, which although not actually having the force of law, are considered by such Governmental Authority as requiring compliance as if having the force of law; and (iv) for greater certainty, any directive received by a Party from the Exchange or a Provincial securities commission, including but not limited to such directives in respect of the Purchaser’s disclosure obligations in connection with the Going-Public Transaction, in each case binding on or affecting the Party or Person referred to in the context in which such word is used and “Law” means any one of them;
(u)
“ Losses ” has the meaning ascribed thereto in Section 7.1;
(v) “ Material Adverse Effect ” in respect of a Party means any change, effect, event, occurrence, condition or development that has or could reasonably be expected to have, individually or in the aggregate, a material and adverse impact on the business, operations, results of operations, assets, capitalization or financial condition of such Party, other than

any change, effect, event, occurrence or state of facts relating to the global economy or securities markets in general;

(w) “ Monthly Payment ” means the $10,000 monthly cash payment payable to the Vendors until Closing to be paid on or before the 15[th] day of each month (beginning on the first 15[th] which is greater than 30 days after the date hereof) into the bank account nominated in writing by the Vendors from time to time (being $5,000 to each Vendor);
(x)
“ Outside Date ” means the date that is 6 months following the date hereof;
(y) “ Parties ” means the Vendors and Purchaser; and “ Party ” means one of them as the context may require;
(z)
“ Permitted Encumbrances ” means:
i.
statutory Encumbrances which relate to obligations not overdue;
ii. restrictive covenants, servitudes and other similar rights, granted to, reserved or taken on any registered subdivision, development, servicing, site plan or other similar agreement, provided that any such rights are in favour of a Governmental Authority;
iii. any subsisting restrictions, reservations, limitations, provisos, exceptions or conditions (including royalties, mineral rights and timber rights, access to navigable waters and similar rights) expressed or implied in any original grants from the Crown in right of Québec or Canada;
iv. the provisions of applicable Laws and Environmental Laws, including zoning by-laws and other by-laws, regulations, ordinances and similar instruments relating to development and zoning;
v. any servitude for public utility, rights of access, rights of way and rights in the nature of servitudes, including servitudes, rights of way and rights in the nature of servitudes for railways, public ways, sewers, drains, gas and oil pipelines, steam and water mains or electrical light and power; and
vi. the right reserved to or vested in any Governmental Authority by the terms of any lease, license, franchise, grant, concession or permit acquired by the Vendors or by any statutory provision to terminate any such lease, license, franchise, grant, concession or permit, or to require annual or other payments as a condition to the continuance thereof;
(aa) “ Person ” means an individual, corporation, company, cooperative, partnership, trust, unincorporated association, entity with juridical personality or a Governmental Authority, and pronouns which refer to a Person shall have the similarly extended meaning;
(bb) “ Purchaser ” has the meaning ascribed thereto in the Preamble;
(cc) “ Royalty Agreement ” the royalty agreement attached to this Agreement as Schedule “B”;
(dd) “ Securities Laws ” means, collectively, the applicable securities laws of the provinces and territories of Canada, the regulations made and forms prescribed thereunder together with

all applicable published rules, instruments, policy statements and blanket orders and rulings of the Canadian Securities Administrators;

(ee) “ Transaction ” means the transactions set forth herein in accordance with Article 7; and
(ff) “ Vendors ” has the meaning ascribed thereto in the Preamble.

1.2 Schedules

1.3 Interpretation Not Affected by Headings, etc.

The division of this Agreement into sections and other portions and the insertion of headings are for convenience of reference only and shall not affect the construction or interpretation hereof. Unless otherwise indicated, all references in this Agreement to a "Section" followed by a number and/or a letter refer to the specified section of this Agreement. Unless otherwise indicated, the terms "this Agreement", "hereof", "herein", "hereunder" and "hereby" and similar expressions refer to this Agreement, as amended or supplemented from time to time pursuant to the applicable provisions hereof, and not to any particular section or other portion hereof.

1.4 Currency

All sums of money referred to in this Agreement are expressed in lawful money of Canada unless otherwise stated.

1.5 Number, etc.

Unless the context otherwise requires, words importing the singular shall include the plural and vice versa and words importing any gender shall include all genders.

1.6 Date for Any Action

In the event that any date on which any action is required to be taken hereunder by any of the Parties hereto is not a Business Day, such action shall be required to be taken on the next succeeding day which is a Business Day.

1.7 Entire Agreement

This Agreement constitutes the entire agreement among the Parties with respect to the Transaction and supersedes all other prior agreements, understandings, negotiations and discussions, whether oral or written, among the Parties with respect thereto. There are no representations, warranties, terms, conditions, undertakings or collateral agreements, express, implied or statutory, between the Parties with respect thereto except as expressly set forth in this Agreement.

ARTICLE 2 PURCHASE AND SALE

2.1 Purchase and Sale

The Vendors hereby agree to sell and transfer to the Purchaser, and the Purchaser hereby purchases and acquires from the Vendors in exchange for the Consideration, 50% of which is payable to each of the Vendors, upon and subject to the terms and conditions hereof, all of the right, title and interest of the Vendors in the Claims, free and clear of any Encumbrances, except for Permitted Encumbrances.

2.2 Consideration

The sale and transfer of the Claims is made in consideration of (i) $200,000 payable as follows: a) the Initial Payment payable to the Vendors on the date hereof; b) the Monthly Payments payable monthly to the Vendors until the Closing Date; c) the Cash Balance payable to the Vendors on the Closing Date; and (ii) the issuance of the Consideration Shares to the Vendors on the date hereof, subject to the escrow restrictions noted below (collectively, the “ Consideration ”).

The Vendors acknowledge that the Consideration Shares will be issued pursuant to available prospectus exemptions under applicable Securities Laws and will be subject to a four month statutory hold period and any additional resale restrictions which may be imposed by the Exchange. In addition to any resale restrictions imposed by the Exchange or applicable Securities Laws, each Vendor acknowledges and agrees that the Consideration Shares issued to the Vendor on Closing will be subject to contractual restrictions on resale (the “ Lock-Up Restrictions ”), to be evidence on the share certificates or Direct Registration Statements representing the Consideration Shares (as applicable), pursuant to which each Vendor agrees not to, directly or indirectly, sell, pledge, encumber, assign or otherwise dispose of or transfer in any manner such Consideration Shares until released from Lock-Up Restrictions in accordance with the following release schedule:

The Parties acknowledge that the transfer of the Claims constitutes supplies of rights to explore for or exploit a mineral deposit or rights of entry or user relating to rights to explore for or exploit a mineral deposit and, therefore, shall be deemed not to be supplies for the purposes of the goods and services tax (“ GST ”) or Québec sales tax (“ QST ”), as provided for under Section 162 of the Excise Tax Act (Canada) and Section 40 of the Act Respecting Québec Sales Tax . Consequently, the transfer of the Claims provided for in this Agreement shall not be subject to GST or QST.

2.3 Vendor Cancellation Right

Notwithstanding anything to the contrary contained herein, the Parties agree that the Consideration Shares shall be immediately issuable by the Purchaser on the date hereof, to be held in escrow by the Purchaser until the Closing Date, and the Vendors hereby irrevocably appoint the Purchaser as escrow agent in respect of the Consideration Shares from the time of their issuance to the Closing Date to administer same in accordance with the terms of this Agreement.

If the Closing Date occurs on or before the date on which this Agreement is terminated in accordance with Section 8.2 hereof, the Purchaser shall deliver the Consideration Shares to the Vendors on such date, however, if this Agreement is terminated in accordance with Section 8.2 hereof prior to the Closing Date, the Vendors hereby irrevocably direct the Purchaser, in its capacity as escrow agent, to return the Consideration Shares to treasury, and further in the event of such return to treasury, the Vendors hereby irrevocably appoint the Purchaser as each of their true and lawful attorney-in-fact and agent, with full power of substitution and re-substitution, and in such Vendor’s name, place and stead, to execute any and all documents, instruments and agreements relating to the return to treasury, including all documents, instruments and agreements that may be required to effect same, with full power and authority to do and perform each and every act and thing requisite and necessary to be done, as fully and to all intents and purposes as each of the undersigned Vendors might or could do in person, and each of the undersigned Vendors hereby ratifies and agrees to ratify and confirm all that the said attorney-in-fact and agent, or its substitute or substitutes, may lawfully do or cause to be done by virtue hereof.

The parties acknowledge and agree that the foregoing escrow restrictions shall not in any way limit the voting rights of the Vendors in respect of the Consideration Shares if and for so long as same are issued and outstanding.

2.4 Tax Election

The Vendors and the Purchaser will jointly elect or cause a joint election to be made under subsection 85(1) of the Act and under any and all equivalent provisions of any other applicable provincial legislation in respect of the transfer of their right, title and interest in and to the Claims, within the time and in the manner required by such legislation. For greater certainty, the amounts which the Vendors and the Purchaser will set out in the election forms prescribed under subsection 85(1) of the Act and under any and all equivalent provisions of any other applicable provincial legislation in respect of the transfer will be determined by the Vendors.

ARTICLE 3 ROYALTY

3.1 Grant of Royalty

As additional consideration for the purchase of the Claims hereunder, upon the conveyance and recording of the right, title and interest of the Vendors to the Purchaser in and to the Claims following the completion of the Closing, the Purchaser hereby grants the GOR to the Vendors payable in accordance with the Royalty Agreement.

ARTICLE 4 REPRESENTATIONS AND WARRANTIES

4.1 Vendors’ Representations and Warranties

Each of the Vendors represents and warrants to the Purchaser as follows and acknowledges that the Purchaser is relying upon such representations and warranties in connection with the purchase of the Claims and that Purchaser would not have entered into this Agreement without such representations and warranties:

a) Incorporation . Each of the Vendors is incorporated, validly existing and in good standing under the Business Corporations Act (Alberta), has the necessary corporate power to carry on its business as such business is presently conducted and is in good standing under the Laws of each other jurisdiction in which it owns properties or conducts any business.
b) Authorization . Each of the Vendors has the necessary corporate power and authority to execute this Agreement and the execution of this Agreement and the performance of its obligations hereunder have been authorized by all necessary corporate actions on its part. Such execution and performance by each of the Vendors does not require any action or consent of, any registration with, or notification to, any Person, or any action or consent under any Laws, to which each of the Vendors is subject.
c) No Conflict . The execution of this Agreement, the consummation of the transactions contemplated herein, the performance by each of the Vendors of its obligations hereunder and the compliance by each of the Vendors with this Agreement do not:
i) violate, contravene or breach, or constitute a default under the constating instruments of each of the Vendors;
ii) violate, contravene or breach, or constitute a default under any contract, agreement, indenture, instrument, license, permit, approval, consent, statute, regulation order judgment, decree or any applicable Law or commitment to which each of the Vendors may be a party, or the Claims may be subject, or by which it is bound or affected or create or impose any security interest, lien or Encumbrances on the Claims (except as otherwise provided in this Agreement); or
iii) result in the termination, cancellation, modification, amendment, variation or renegotiation of any contract, agreement, indenture, instrument, or commitment to which each of the Vendors may be a party.
d) Enforceability . This Agreement constitutes legal, valid and binding obligations, enforceable against each of the Vendors in accordance with its terms.
e) Consideration Shares . Each of the Vendors acknowledges and consents to: (A) the delivery to the applicable securities regulatory authority of the name, address and telephone number of each of the Vendors, the number and type of securities acquired, the exemption relied upon and the date of distribution; (B) that such information is being collected indirectly by the applicable securities regulatory authority under the authority granted to it in securities legislation; (C) that such information is being collected for the purposes of the administration and enforcement of Securities Laws; and (D) the use of such information with a public official of the Alberta Securities Commission at Suite 600, 250–5th St. SW, Calgary, Alberta, T2P 0R4 (inquiries: 403-355-4151; Email: [email protected]) or of the British Columbia Securities Commission at 701 West Georgia Street, P.O. f) Resident . Each of the Vendors is not a non-resident of Canada for the purposes of the Act.
g) No Broker . Each of the Vendors has not employed or incurred nor any of its shareholders, directors, officers, employees or agents has employed or incurred any liability to any broker, finder or agent for any brokerage fees, finder’s fees, commissions or other amounts with respect to this Agreement or any of the transactions contemplated hereby.

4.2 Representations and Warranties as to the Claims.

Each of the Vendors represents and warrants to the Purchaser as follows and acknowledges that the Purchaser is relying upon such representations and warranties in connection with the purchase by the Purchaser of the Claims and that the Purchaser would not have entered into this Agreement without such representations and warranties:

a) Claims . The Claims have been properly map designated, located and recorded pursuant to the applicable Laws of the Province of Quebec. Schedule “A” contains the complete list of all the Claims being sold by the Vendors hereunder. All the Claims are in good standing, valid and enforceable. All payments, rentals, taxes, rates, assessments, renewal fees and other governmental charges owing in respect of the Claims have been paid in full up to the date hereof.
b) Ownership . Each of the Vendors is the holder of a 50% undivided ownership interest in the Claims which are registered in the name of third parties identified in Schedule “A” (the “ Claim Holders ”), who are holding such Claims in the name of and for the benefit of the Vendors. The Vendors have good, valid and marketable title to the Claims, free and clear of all Encumbrances, save for the Permitted Encumbrances. There are no adverse claims, actions, suits or proceedings that are, to the knowledge of the Vendors, pending or threatened, and there is no state of facts or events that, to the knowledge of the Vendors, would reasonably be expected to give rise thereto or to adversely affect the title to or right to explore or develop the Claims, and neither of the Vendors has actual knowledge or notice of any adverse claims of any community, including First Nations, that resides within or near the areas of the Claims. Each of the Vendors further does not know of any claim or basis for a claim that might or could adversely affect its rights to use, transfer, possess, sell or otherwise exploit the Claims. Each of the Vendors has no responsibility or obligation to pay any commission, royalty, license, fee or similar payment to any Person with respect to the Claims.
c) Approvals and Consents . No authorization, consent or approval of, or filing with or notice to, any Governmental Authority, regulatory body, court or other Person is required in connection with the execution, delivery or performance of this Agreement by the Vendors or the sale of the Claims, except the Mining Rights Transfer Application form to be filed with the Ministère des Ressources naturelles et des Forêts of the Province of Québec (Québec Ministry of Natural Resources and Forests) for registration in the Public Register of Real and Immovable Mining Rights .
d) Litigation . There is no adverse claim or challenge against title to any part of the Claims and, to the best of the knowledge of the Vendors there is no basis for such adverse claim or challenge which may affect the Claims.
e) Surface Rights . The Claims are not subject of any action that has been taken or, to the knowledge of the Vendors, threatened by any Governmental Authority, owner, tenant, licensor, or occupier of any of the surface rights which would in any way encumber, limit, restrict or cause interference, in

any material respect, with any mining activity that may be conducted with respect to the Claims. To the knowledge of the Vendors, there is no reason why the Purchaser may not have immediate and continuous access to all portions of the Claims.

f) Environmental Matters . To the knowledge of the Vendors:
i) there is no spill, discharge, deposit, leak, emission or other release of any Contaminant on, into, under or affecting the Claims that could have a Material Adverse Effect;
ii) no Contaminant is currently stored in any type of container on, in or under the Claims;
iii) there are no outstanding notices, orders, assessments, directives, rulings or other material documents issued in respect of the Claims by any Governmental Authority;
iv) none of the Vendors has received written notice and, to the knowledge of the Vendors, there are no facts which would reasonably be expected to give rise to any material notice that any of the Vendors is potentially responsible for a clean-up or remedial action under any Environmental Law in connection with the Claims; and
v) all material studies and reports pertaining to any environmental assessments/audits of the Claims obtained for, in the possession, control or carried out on behalf of any of the Vendors have been delivered or made available to the Purchaser.
g) Underlying Royalties . The Claims are free and clear of any royalty, net smelter return, net profits interest or similar payment payable in respect of any of them, with the exception of the GOR to be granted hereunder.
h) Full Disclosure . There has been no event, transaction or information which has come to the attention of the Vendors that has not been disclosed to the Purchaser and would reasonably be expected to result in a Material Adverse Effect on the Claims.
i) Knowledge of Breach . Each of the Vendors hereby represents and warrants to the Purchaser that it is not aware (to its actual knowledge and without inquiry) of any specific facts or information which would result in the Purchaser breaching any or its representations or warranties herein.

4.3 Purchaser's Representations and Warranties

The Purchaser represents and warrants to the Vendors as follows and acknowledges that each of the Vendors is relying upon such representations and warranties in connection with the sale by the Vendors of the Claims and that each of the Vendors would not have entered into this Agreement without such representations and warranties:

a) Incorporation . The Purchaser is incorporated, validly existing and in good standing under the Business Corporations Act (British Columbia), has the necessary corporate power to carry on its business as such business is presently conducted and is in good standing under the Laws of each other jurisdiction in which it owns properties or conducts any business.
b) Authorization . The Purchaser has the full right, power, capacity and authority to enter into, execute and deliver this Agreement and to be bound by its terms. The execution of this Agreement by it and the performance by it of its obligations hereunder have been authorized by all necessary corporate action on its part. Such execution and performance by it does not require any action or consent of,

any registration with, or notification to, any Person, or any action or consent under any Laws to which it is subject.

c) No Conflict . The execution of this Agreement, the consummation of the transactions contemplated herein, the performance by the Purchaser of its obligations hereunder and the compliance by the Purchaser with this Agreement do not:
i) violate, contravene or breach, or constitute a default under the constating instruments of the Purchaser;
ii) violate, contravene or breach, or constitute a default under any contract, agreement, indenture, instrument, licence, permit, approval, consent, statute, regulation order judgment, decree or any applicable Law or commitment to which the Purchaser may be a party;
iii) result in the termination, cancellation, modification, amendment, variation or renegotiation of any contract, agreement, indenture, instrument, or commitment to which the Purchaser may be a party; or
iv) result in any violation of any statute or any order, rule or regulation of any court or Governmental Authority having jurisdiction over the Purchaser or any of its properties, except where such breach, violation or default would not have a Material Adverse Effect on the general affairs, management, financial position, business, prospects, shareholders’ equity or results of operations of the Purchaser on a consolidated basis.
d) Enforceability . This Agreement constitutes legal, valid and binding obligations, enforceable against the Purchaser in accordance with its terms.
e) Consideration Shares . All necessary corporate actions have been taken by the Purchaser to authorize the issuance of the Consideration Shares and that such Consideration Shares will be, upon issuance, validly issued as fully-paid and non-assessable Common Shares of the Purchaser;
f) No Broker . It has not employed or incurred nor any of its shareholders, directors, officers, employees or agents has employed or incurred any liability to any broker, finder or agent for any brokerage fees, finder’s fees, commissions or other amounts with respect to this Agreement or any of the transactions contemplated hereby.
g) Full Disclosure . There has been no event, transaction or information which has come to the attention of the Purchaser that has not been disclosed to the Vendors and would reasonably be expected to result in a Material Adverse Effect on the Purchaser or the value of the Consideration Shares.
h) Knowledge of Breach . The Purchaser hereby represents and warrants to the Vendors that it is not aware (to its actual knowledge and without inquiry) of any specific facts or information which would result in the Vendors breaching any or their representations or warranties herein.
i) Going Public Transaction . The Purchaser hereby represents and warrants to the Vendors that it is currently undertaking the Going Public Transaction which it expects to successfully complete within 6 months of this Agreement.

4.4 Survival of Representations and Warranties

All representations and warranties contained in this Agreement and in all certificates and documents delivered pursuant to or contemplated by this Agreement shall survive the closing of the Transaction contemplated by this Agreement and shall continue in full force and effect:

a) in respect of any matters other than tax matters, for a period of two (2) years from the Closing Date; and
b) in respect of tax matters, until the day which is one day after the relevant authorities shall no longer be entitled to assess liability for taxes against the Vendors for any taxation period prior to the Closing Date.

ARTICLE 5 COVENANTS

5.1 Covenants of the Vendors

Each of the Vendors covenants and agrees with the Purchaser that from the date hereof to the earlier of: (a) the Closing Date; and (b) the date of termination of this Agreement, as applicable, it will:

a) maintain its interest in the Claims in good standing under applicable Laws, perform all work required to be performed under applicable Law, pay all taxes, royalties, rentals, fees, expenditures and other payments required to be paid in respect thereof and make any necessary tax, governmental and other filings and payments and perform such other related and applicable obligations in respect of the Claims in a timely fashion;
b) take reasonable care to protect and safeguard the Claims;
c) not sell or dispose of or transfer possession of all or any portion of the Claims, or any interest therein;
d) not grant or permit to exist any Encumbrances on its rights to the Claims, other than Permitted Encumbrances;
e) promptly advise the Purchaser orally and, if then requested, in writing, with the full particulars of any:
i) event occurring subsequent to the date of this Agreement that would render any representation or warranty of the Vendors contained in this Agreement (except any such representation or warranty which speaks as of a date prior to the date of this Agreement), if made on or as of the date of such event or the Closing Date, untrue or inaccurate in any material respect; and
ii) breach by any of the Vendors of any covenant or agreement contained in this Agreement; and
f) perform all obligations required or desirable to be performed by it under this Agreement and shall do all such other acts and things as may be necessary or desirable in order to consummate and make effective, as soon as reasonably practicable, the transactions contemplated in this Agreement and without limiting the generality of the foregoing, each of the Vendors shall:

i) defend all lawsuits or other legal, regulatory or other proceedings challenging or affecting this Agreement or the consummation of the transactions contemplated hereby; and
ii) use reasonable best efforts to have lifted or rescinded any injunction or restraining order or other order relating to it which may adversely affect the ability of the Parties to consummate the transactions contemplated hereby.

5.2 Covenants of the Purchaser

The Purchaser covenants and agrees with the Vendors that from the date hereof to the earlier of: (a) the Closing Date; and (b) the date of termination of this Agreement, as applicable, it will:

a) promptly advise the Vendors orally and, if then requested, in writing, with the full particulars of any:
i) event occurring subsequent to the date of this Agreement that would render any representation or warranty of the Purchaser contained in this Agreement (except any such representation or warranty which speaks as of a date prior to the date of this Agreement), if made on or as of the date of such event or the Closing Date, untrue or inaccurate in any material respect;

ii) breach by the Purchaser of any covenant or agreement contained in this Agreement; and

b) perform all obligations required or desirable to be performed by it under this Agreement and shall do all such other acts and things as may be necessary or desirable in order to consummate and make effective, as soon as reasonably practicable, the transactions contemplated in this Agreement and without limiting the generality of the foregoing, the Purchaser shall:
i) defend all lawsuits or other legal, regulatory or other proceedings challenging or affecting this Agreement or the consummation of the transactions contemplated hereby; and
ii) use reasonable best efforts to have lifted or rescinded any injunction or restraining order or other order relating to it which may adversely affect the ability of the Parties to consummate the transactions contemplated hereby.

ARTICLE 6 DELIVERIES AT CLOSING

6.1 Vendor's Deliveries

On the Closing Date, the Vendors will deliver or cause to be delivered to the Purchaser the following closing documents:

(a) a duly completed and executed transfer form prescribed by the Mining Act (Québec), signed by the Claim Holders, and all other required supporting documentation, in form and content satisfactory to the Purchaser, appropriate to effectively vest good and marketable title to the Claims in the Purchaser to the extent contemplated by this Agreement, and immediately registrable in all places where registration of such instruments is necessary or desirable;
(b) an executed copy of the Royalty Agreement;

(c) a certificate of each of the Vendors addressed to the Purchaser and dated the Closing Date, signed on behalf of each of the Vendors by a director or senior executive officer of each of the Vendors, confirming that all covenants and agreements of the Vendors under this Agreement to be performed or observed on or before the Closing Date have been duly performed and observed by the Vendors in all material respects; and
(d) a certificate of each of the Vendors addressed to the Purchaser and dated the Closing Date, signed on behalf of each of the Vendors by a director or senior executive officer of the Vendor, confirming that the representations and warranties of each of the Vendors set forth in this Agreement are true and correct in all material respects as of the Closing Date as if made on and as of such date (except to the extent such representations and warranties speak as of a specified date, which is earlier than the date of this Agreement, in which event such representations and warranties shall be true and correct in all material respects as of such earlier specified date, or except as affected by transactions contemplated or permitted by this Agreement or otherwise consented to by the Purchaser).

6.2 Purchasers’ Deliveries

On the Closing Date, the Purchaser will deliver or cause to be delivered to the Vendors the following closing documents:

(a) the share certificates or Direct Registration Statements (at the election of each the Vendors) representing the Consideration Shares as contemplated under Section 2.2, registered as directed by each of the Vendors;
(b) a wire transfer in an amount equal to the Cash Balance;
(c) a certificate of the Purchaser addressed to the Vendors confirming completion of the Going Public Transaction attaching official correspondence from the Exchange confirming the same.
(d) an executed copy of the Royalty Agreement;
(e) a certificate of the Purchaser addressed to the Vendors and dated the Closing Date, signed on behalf of the Purchaser by a director or senior executive officer of the Purchaser confirming that all covenants and agreements of the Purchaser under this Agreement to be performed or observed on or before the Closing Date have been duly performed by the Purchaser in all material respects; and
(f) a certificate of the Purchaser addressed to the Vendors and dated the Closing Date, signed on behalf of the Purchaser by a director or senior executive officer of the Purchaser confirming that the representations and warranties of the Purchaser set forth in this Agreement are true and correct in all material respects as of the Closing Date as if made on and as of such date (except to the extent such representations and warranties speak as of a specified date, which is earlier than the date of this Agreement, in which event such representations and warranties shall be true and correct in all material respects as of such earlier specified date, or except as affected by transactions contemplated or permitted by this Agreement or otherwise consented to by the Vendors).

ARTICLE 7 INDEMNIFICATION

7.1 Indemnification by the Vendors

Any of the Vendors shall indemnify and hold the Purchaser harmless from and against any claims, demands, actions, causes of action, judgments, damages, losses (which shall include any diminution in value), liabilities, costs or expenses (including interest, penalties and reasonable attorneys, and experts, fees and disbursements) (collectively, the “ Losses ”), which may be made against the Purchaser or which it may suffer or incur as a result of, arising out of or relating to:

a) any violation, contravention or breach of any covenant, agreement or obligation of such Vendor under or pursuant to this Agreement; or
b) any incorrectness in, or breach of, any representation or warranty made by any Vendor in Sections 4.1 and Section 4.2, the Schedules annexed hereto or in any certificate or other document delivered or given pursuant to this Agreement.

7.2 Indemnification by the Purchaser

The Purchaser shall indemnify and hold any of the Vendors harmless from and against any Losses which may be made against it or which it may suffer or incur as a result of, arising out of or relating to:

a) any violation, contravention or breach of any covenant, agreement, or obligation of the Purchaser under or pursuant to this Agreement; or
b) any incorrectness in, or breach of, any representation or warranty made by the Purchaser in Section 4.3, the Schedules annexed hereto or in any certificate or other document delivered or given by the Purchaser pursuant to this Agreement.

7.3 Limit on Indemnification

Notwithstanding anything to the contrary in Article 8, no claim may be brought to recover any Losses after the date which is two (2) years following the Closing Date.

7.4 Limitation on Claims.

Notwithstanding any provision contained herein to the contrary, no Party shall be entitled to indemnification hereunder with respect to a breach by the other Party of any representations and warranties hereunder that such Party had actual knowledge of on the date hereof or on the Closing Date.

ARTICLE 8 AMENDMENT AND TERMINATION

8.1 Amendment

This Agreement may be amended by mutual written agreement of the Parties hereto.

8.2 Termination

This Agreement may be terminated:

(a) by mutual agreement of the Parties; or
(b) by either Party if the Purchaser does not complete its Going Public Transaction on or prior to the Outside Date, in which case the Vendors shall be entitled to keep the Initial Payment and the Monthly Payments completed by the Purchaser up to the Outside Date.

If this Agreement is terminated in accordance with the foregoing provisions of this Section 8.2, no Party shall have any further liability to perform its obligations hereunder, provided that nothing contained in this Section 8.2 shall relieve any Party from any liability for any breach by it of this Agreement, including from any inaccuracy in its representations and warranties and any nonperformance by it of its covenants made herein.

ARTICLE 9 GENERAL PROVISIONS

9.1 Confidentiality

The Parties shall keep this Agreement strictly confidential and make no disclosure thereof to any person except the Parties’ counsel and advisors and except (i) as may be required in connection with the consummation of the transactions contemplated hereby, (ii) as may be required by Law, (iii) for the purposes of issuing a press release announcing the execution of this Agreement and/or the closing of the transaction contemplated hereby, or (iv) with the prior written consent of the other Party.

9.2 Notice

Any notice, consent, waiver, approval, report, authorization or other communication which any Party is required or may desire to give to or make upon the other Party pursuant to this Agreement shall be in writing and shall be deemed to have been duly given if delivered or sent by email:

9.3 Time

Time will be of the essence of this Agreement.

9.4 Enurement

This Agreement will enure to the benefit of and be binding upon the Parties and each of them and, as applicable, their administrators, successors and assigns.

9.5 Further Assurances

Each of the Parties will, on demand by the other Party, execute and deliver or cause to be executed and delivered all such further documents and instruments and do all such further acts and things as the other Party may reasonably require to evidence, carry out and give full effect to the terms, conditions, intent and meaning of this Agreement and to assure the completion of the Transaction.

9.6 Modifications, Approvals and Consents

No amendment, modification, supplement, termination or waiver of any provision of this Agreement will be effective unless in writing signed by the appropriate Party and then only in the specific instance and for the specific purpose given.

9.7 Counterparts

This Agreement may be executed in any number of counterparts and delivery by electronic mail, each of which will together, for all purposes, constitute one and the same instrument, binding on the Parties, and each of which will together be deemed to be an original, notwithstanding that all of the Parties are not signatory to the same counterpart.

9.8 Assignment

Neither Party may assign the benefit of this Agreement to any party without the consent of the other Parties, such consent not to be unreasonably withheld.

9.9 Governing Law

This Agreement shall be governed by and interpreted and construed in accordance with the laws presently in force in the Province of Québec and the laws of Canada applicable therein. Each Party irrevocably attorns to the non-exclusive jurisdiction of the courts of Province of Québec, in the judicial district of Montreal, with respect to any matter arising under or relating to this Agreement.

9.10 Severability

If any one or more of the provisions contained in this Agreement should be invalid, illegal or unenforceable in any respect in any jurisdiction, the validity, legality and enforceability of the remaining provisions contained herein will not in any way be affected or impaired thereby, unless in either case as a result of such determination this Agreement would fail in its essential purpose.

9.11 Expenses

The Vendors shall bear and pay all costs, expenses and fees (including legal counsel and accounting fees and disbursements) incurred by them in connection with the preparation, execution and consummation of this Agreement and the transactions contemplated hereunder (including any evaluation and due diligence conducted in connection therewith). The Purchaser shall bear and pay all costs, expenses and fees (including legal counsel and accounting fees and disbursements) incurred by it in connection with the preparation, execution and consummation of this Agreement and the transactions contemplated hereunder (including any evaluation and due diligence conducted in connection therewith).

9.12 Language
