Resignation of Independent Director
SAES Getters S.p.A. announces that, on March 7, 2023, an urgent meeting of the Board of Directors was held following the resignation of the Independent Director Luciana Sara Rovelli, officially presented on the evening of 6 March 2023 and already communicated to the market on the same date.
The Board assessed the reasons for the resignation and unanimously agreed that the Board debate was always conducted on the basis of timely and exhaustive information, leaving large room for discussions and the individual positions of the single Directors and giving all the Directors the possibility to express their opinions, even when divergent.
Furthermore, the various Committees, including the Remuneration and Appointments Committee, carried out extensive discussions over time, also being assisted by external consultants, trusted by the Committees themselves, who were asked for opinions and research at the Company's expense, bringing the results of the investigations to the Board of Directors, with ample time for subsequent discussions.
Lastly, the Board expressed its appreciation for the work of Luciana Rovelli, thanking her for the contribution over the past eight years to the Board of Directors, to the Remuneration and Appointments Committee (of which she was Chairman), to the Control and Risk and Sustainability Committee, as well as to the Supervisory Body of the Company (of which she was the President).
Therefore, the Board of Directors appointed, in place of Luciana Rovelli, the Director Stefano Proverbio, Independent, as member of the Remuneration and Appointments Committee (assigning him the office of Chairman) and as Chairman of the Supervisory Body, of which Stefano Proverbio is already a member.
