Proposal of candidate for the appointment of a new Alternate Auditor and proposal of candidate for the appointment of the Common Representative of Savings Shareholders

SAES Getters S.p.A. hereby announces that on April 7, 2023 the majority shareholder S.G.G. Holding S.p.A. has proposed Dr. Silvia Olivotto for the appointment of Alternate Auditor, to replace Avv. Maria Luisa Sartori (whose term of office had ceased, due to voluntary resignation, starting from June 1, 2022), for the purpose of integrating the Board of Statutory Auditors.

Since no further proposals have been received, this single appointment will be proposed to the Shareholders' Meeting on April 28, 2023 and the newly elected Alternate Auditor will remain in office until the end of the term of office of the current Board of Statutory Auditors, i.e. until the approval of the consolidated financial statements as at December 31, 2023.

The complete curriculum vitae of Dr Silvia Olivotto, together with the related documents, have been made available to the public on the Company's website (www.saesgetters.com/investor-relations/shareholdersmeeting-2022), at the registered office and on the storage mechanism ().

SAES also announces that on April 6, 2023 the shareholder Andreas Lechner presented the candidacy of Avv. Dario Trevisan for the appointment as Common Representative of Savings Shareholders, following the expiry of the mandate of the current representative.

The related documentation has been made available to the public on the Company's website (www.saesgetters.com/investor-relations/area-investors/shareholders-meeting), at the registered office and on the storage mechanism () today.

The name will be proposed to the Savings Shareholders' Meeting on April 28, 2023 in addition to the proposal of the Board of Directors to confirm the current Representative, Avv. Massimiliano Perletti. The newly elected Common Representative of Savings Shareholders will remain in office for the three-year period 2023-2025.
