Subject: Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) - Regulations, 2015 Allotment of Bonus Equity shares

Sir/Madam,

In furtherance to our letters dated June 9, 2021, June 17 2021, June 23, 2021 and July 10, 2021, we wish to inform that the Board of Directors of the Company, by means of Circular Resolution dated July 22, 2021, have allotted 5,58,90,894 Bonus Equity Shares of Rs. 1/- each as fully-paid up Bonus Equity Shares, in the proportion of Two (2) Equity Share of Rs. 1/- each for every Five (5) existing Equity Shares of Rs. 1/- each, to the eligible Members whose names appeared in the register of Members / list of beneficial owners maintained by the Registrar and Share Transfer Agent (RTA) of the Company as on July 21, 2021 i.e. record date fixed for this purpose.

Consequently, the paid-up Equity Share Capital of the Company stands increased from Rs.13,97,27,235 divided into 13,97,27,235 Equity Shares of Rs. 1/- each to Rs. 19,56,18,129 divided into 19,56,18,129 Equity Shares of Rs. 1/- each.

As part of the aforesaid allotment 1,665 Bonus Equity Shares representing fractional entitlement(s) of eligible Members have been consolidated and allotted to Mr. Asit Javeri, Executive Chairman of the Company. Such Equity shares will be sold at the prevailing market rate as soon as possible and the net sale proceeds will be distributed, after adjusting the cost and expenses in respect thereof among the eligible Members in proportion to their respective fractional entitlements.
