Sub: Outcome of the Meeting of the Board of Directors of Sadbhav Infrastructure Project Limited ("Company") held on 28th January, 2021

With reference to above mentioned subject, we would like to inform you that meeting of Board of Directors of the Company was held today (28/01/2021), in which the Board of Directors of the Company has considered and approved the issuance of non-convertible debentures amounting up to Rs. 700,00,00,000/- (Rupees Seven Hundred Crores Only) on a private placement basis in one or more tranches/ series as mentioned below:

• 1. Up to 5,001 (Five Thousand and One) senior, taxable, secured, unrated, unlisted, redeemable, non-convertible debentures having face value ofl:10,00,000/- (Rupees Ten Lakhs Only) each, to the Applicants totally aggregating to '{500,10,00,000/- (Rupees Five Hundred Crores and Ten Lakhs Only) on a private placement basis. ("Series A Debentures")
• 1. Up to 1,999 (One Thousand Nine Hundred and Ninety Nine) senior, taxable, secured, rated, listed, redeemable, non-convertible debentures having face value ofH0,00,000/- (Rupees Ten Lakhs Only) each to the Applicants totally, aggregating to '{199,90,00,000/- (Rupees One Hundred Ninety Nine Crores and Ninety Lakhs Only) on a private placement basis. ("Series B Debentures") These Series B Debentures will be listed on 'Wholesale Debt Market' segment of the ESE Limited.

The meeting of Board of Directors of the Company commenced at 01:45 p.m. and concluded at 02:45 p.m.
