Sub: Execution of Units Purchase Agreement by the Company with CPP Investment Board Private Holdings (4) INC. (CPH-4) and /or its affiliates.
Pursuantto the Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, read together with the circulars and notifications issued thereunder ("Listing Regulations") we hereby write to inform you that the Board of Directors of the Company at its meeting held today i.e. 29th April, 2021, has approved, execution of Unit Purchase Agreement with CPP INVESTMENT BOARD PRIVATE HOLDINGS (4) INC. (CPH-4) AND /OR ITS AFFILIATES towards sell and transfer the right, title ownership and interest in, free of all encumbrances, 434,28,782 Units of Indlnfravit Trust held by the Company in dematerialised form upon the terms and conditions contained in a Unit Purchase Agreement.
We hereby submit the details (in Annexure-A) as per Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015 under the provisions of Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 for "Continuous Disclosure Requirements for Listed Entities".
