SABAF: Attribuzione di azioni in esecuzione del Piano di Stock Grant 2021 - 2023

Sabaf S.p.A. informa, ai sensi dell'art. 84-bis comma 5 del Regolamento Emittenti n. 11971/99 e successive modifiche, che il Consiglio di Amministrazione della Società si è riunito in data 8 maggio 2024 per assumere decisioni inerenti all'attuazione del Piano di Stock Grant 2021 - 2023 approvato dall'Assemblea dei soci in data 6 maggio 2021 (in breve il "Piano"), a fronte del decorso del periodo triennale di maturazione dei diritti previsti nel Piano stesso per i beneficiari.

Le caratteristiche del Piano sono state precedentemente rese note mediante il Documento Informativo ex art. 114-bis TUF approvato dal Consiglio di Amministrazione della Società in data 23 marzo 2021. Il citato Documento Informativo, contenente tutte le informazioni di dettaglio in conformità alla vigente normativa, è a disposizione del pubblico presso la sede sociale e pubblicato sul sito Internet della Società (www.sabafgroup.com), sezione Investitori.

Il Consiglio di Amministrazione ha accertato il raggiungimento parziale degli obiettivi del triennio 2021- 2023 e la sussistenza di tutte le circostanze cui era condizionata l'attribuzione delle azioni come precisato nel Piano medesimo e, conseguentemente, a fronte dei n. 231.000 diritti originariamente assegnati, ha deliberato l'attribuzione ai beneficiari del Piano di complessivamente n. 103.348 azioni ordinarie della Società mediante l'utilizzo di azioni già nella disponibilità dell'emittente.

Le azioni proprie in portafoglio scendono a n. 138.615, pari al 1,093% del capitale.

Le informazioni riguardanti i beneficiari ed il numero di azioni rispettivamente assegnate sono pubblicate sul sito Internet della Società sopra individuato e tramite il meccanismo di stoccaggio centralizzato .

Il 20% delle azioni attribuite è soggetto a un vincolo di indisponibilità valido per due anni dalla data di consegna delle azioni, mentre un ulteriore 20% delle azioni attribuite è sottoposto ad un vincolo di indisponibilità della durata di un anno dalla data di consegna.

Allocation of shares in implementation of the 2021 – 2023 Stock Grant Plan

Sabaf S.p.A. informs, pursuant to Article 84-bis paragraph 5 of the Issuers' Regulation no. 11971/99 as amended, that the Board of Directors of the Company met on 8 May 2024 to take decisions regarding the implementation of the 2021 - 2023 Stock Grant Plan approved by the Shareholders' Meeting on 6 May 2021 (in short, the "Plan"), against the expiry of the three-year vesting period of the rights envisaged in the Plan itself for the beneficiaries.

The characteristics of the Plan were previously disclosed by means of the Information Document pursuant to Article 114-bis TUF approved by the Company's Board of Directors on 23 March 2021.

The aforementioned Information Document, containing all detailed information in compliance with the regulations in force, is available to the public at the Company's registered office and published on the Company's website (www.sabafgroup.com), Investors section.

In this context, the Company's Board of Directors of 8 May 2024 ascertained, under the terms represented therein, the achievement of the objectives for the three-year period from 2021 to 2023 and the existence of all the circumstances on which the allocation of the shares was conditional as specified in the Plan itself and, consequently, compared to the no. 231,000 rights originally assigned, resolved to allocate to the beneficiaries of the Plan a total of 103,348 ordinary shares of the Company through the use of shares already available to the issuer.

Treasury shares in portfolio decreased to 138,615, or 1.093% of the capital.

The information concerning the beneficiaries and the number of shares respectively allocated is published on the above-mentioned Company's website and on the centralised storage system .

The 20% of the allocated shares is subject to an unavailability constraint valid for two years from the date of delivery of the shares, while a further 20% of the allocated share is subject to an unavailability constraint lasting one year from the date of delivery of the shares.
