Verifica dei requisiti di indipendenza dei membri del Collegio Sindacale di Sabaf S.p.A.

Si rende noto che il Collegio Sindacale di Sabaf S.p.A. ha finalizzato il processo di valutazione dell'idoneità dei propri membri nominati dall'Assemblea degli Azionisti dell'8 maggio 2024.

In particolare, il Collegio Sindacale ha accertato la sussistenza dei requisiti di indipendenza dei propri componenti, come previsto dal Codice di Corporate Governance e dal TUF, in base alle informazioni fornite da ciascun membro del Collegio Sindacale e alle informazioni a disposizione della Società.

In relazione a quanto precede, tutti i membri del Collegio Sindacale sono risultati indipendenti ai sensi dell'art. 148 del D.Lgs. N. 58/1998 (TUF) e della raccomandazione 7 del Codice di Corporate Governance.

SABAF S.P.A. Assessment of the independence requirements of the Board of Statutory Auditors members

Sabaf S.p.A. announces that the Board of Statutory Auditors of Sabaf S.p.A. has completed the assessment of the independence requirements of its members, appointed by the Shareholders' Meeting of 8 May 2024.

In particular, the Board of Statutory Auditors verified the existence of its members independence requirements, pursuant to the Italian Corporate Governance Code as well as to the TUF, based on the information provided by the interested parties and available to the Company.

With reference to the foregoing, all members of the Board of Statutory Auditors qualify as independent pursuant to Art. 148, paragraph 3, of Legislative Decree 58/1998 (TUF) and to recommendation 7 of the Italian Corporate Governance Code.
