APPENDIX 2A & s708A NOTICE

S2 Resources Ltd (“S2” or the “Company”) advises that 61,967,000 new fully paid ordinary shares in the Company (“New Shares”) have now been issued pursuant to the share placement announced on 20 July 2020. An ASX Appendix 2A in respect of the New Shares was lodged on 27 July 2020.

S708A Notice

This notice is given by S2 under section 708A(5)(e) of the Corporations Act 2001(“Corporations Act”).

The Company advises that:

• a) The New shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

• b) As at the date of this notice, the Company has complied with:

  • i. The provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii. Section 674 of the Corporations Act.

• c) As at the date of this notice, there is no information that is “excluded information” of the type referred to in section s708A(7) and 708A(8) of the Corporations Act.
