S & U PLC ("S&U" or "the Company")

Director/PDMR Shareholding

The Company has granted share options in respect of 8,500 ordinary shares of 12.5p each in S & U to certain Company Directors under the Company's 2010 Long Term Incentive Plan ("LTIP").  

The LTIP option awards were all made on 20 May 2014. 

The earliest date the awards will vest is on 20 May 2017 all at an exercise price of 12.5p each.  The vesting of the awards is subject to each person remaining in employment with the Company for three years from the date of the award and meeting challenging performance targets.

The Company has also granted share options in respect of 3,950 ordinary shares of 12.5p each in S&U to certain Company Directors under the Company's 2008 Discretionary Share Option Plan ("DSOP"). 

The DSOP option awards were all made on 20 May 2014. The earliest date the awards will vest is on 20 May 2017 all at an exercise price of 1892.50p each. The vesting of awards is subject to each person remaining in employment with the Company for three years from the date of award and meeting challenging performance targets over this period.
