S & U PLC ("S&U" or "the Company")

Director/PDMR Shareholding

The Company has granted share options in respect of 17,000 ordinary shares of 12.5p each in S & U to certain Company Directors under the Company's 2010 Long Term Incentive Plan ("LTIP"). 

The LTIP option awards were all made on 2 May 2013. 

The earliest date the awards will vest is on 2 May 2016 all at an exercise price of 12.5p each.  The vesting of the awards is subject to each person remaining in employment with the Company for three years from the date of the award and meeting challenging performance targets.

The Company has also granted share options in respect of 3,900 ordinary shares of 12.5p each in S&U to certain Company Directors under the Company's 2008 Discretionary Share Option Plan ("DSOP"). 

The DSOP option awards were all made on 2 May 2013. The earliest date the awards will vest is on 2 May 2016 all at an exercise price of 1160.0p each. The vesting of awards is subject to each person remaining in employment with the Company for three years from the date of award and meeting challenging performance targets over this period.
