Dear Sir / Madam,

This is in continuation to the Notice of Extra Ordinary General Meeting of the Company (EGM Notice) dated 25[th] January, 2024, which has already been circulated to the shareholders of the Company on 30[th] January, 2024. A Corrigendum is being issued today to inform the Shareholders to whom the Notice of Extra Ordinary General Meeting has been sent regarding changes in the Explanatory Statement by inclusion of certain items.

A copy of detailed the Corrigendum is enclosed herewith. The Corrigendum shall be published in Newspaper and posted on the website of the Company.

Except as detailed in the attached Corrigendum, all other items of the EGM Notice along with Explanatory Statement dated 25[th] January, 2024, shall remain unchanged. Please note that on and from the date hereof, the EGM Notice dated 25[th] January, 2024 shall always be read collectively with this Corrigendum.

Sub: Corrigendum to Notice of Extra Ordinary General Meeting (EOGM) of the Company

Dear Members,

We draw attention of all the Members of S & S Power Switchgear Limited (the ‘Company’) that an Extraordinary General Meeting (’EOGM’) of the Company is scheduled on Wednesday, 21st February 2024, at 11.00 a.m. through Video Conferencing (‘VC’) to transact the businesses mentioned in the Notice convening the EOGM dated 25th January 2024 (’EOGM Notice’).

The Company had on 30[th] January 2024, completed dispatch of EOGM Notice through emails to those Members whose names appeared in the Statement of Beneficial Ownership maintained by National Securities Depository Limited (the ’NSDL’) and Central Depository Services (India) Limited (the ’CDSL’) or Register of Members of the Company.

The Members of the Company are requested to take note of the following additional information / disclosure / update in the EOGM Notice:

• 1) Under Item No 7 (j), of the Explanatory Statement, the beneficiary’s name Ms. Snehal Jalan was inadvertently missed. Please read the table item no 7 Column heading ‘Ultimate Beneficial Owners of the proposed allottee(s) ‘under the point (j) of the Explanatory Statement as under:

• 2) We would like to inform you that Under Item no 5, 6 & 7 (i), of the Explanatory Statement, we have inadvertently entered date as 31-03-2023 instead of 30-09-2023.

Please read the Note no 1 : As Pre issue shareholding pattern has been prepared based on shareholding of the Company as on 30-09-2023.

All other information and content as set out in the EOGM Notice dated 25[th] January 2024 including the resolutions to be considered there at remain unchanged. The Members may note that the EOGM Notice and the Corrigendum to the EOGM Notice will also be available on the Company’s website www.sspower.com and on website of the Stock Exchanges at www.bseindia.com and www.nseindia.com. This corrigendum to the EOGM Notice shall form an integral part of the EOGM Notice dated 25[th] January 2024, which has already been circulated to the Members of the Company. Accordingly, all the concerned Members, Stock Exchanges, Depositories, Registrar and Share Transfer Agent, agencies appointed for e-voting, other authorities, regulators and all other concerned persons are requested to take note of the aforesaid corrigendum.
