This is in continuation to the Notice of Extra Ordinary General Meeting of the Company (EGM Notice) dated 25th January, 2024, which has already been circulated to the shareholders of the Company on 30th January, 2024 and corrigendum issued on 15[th] feb 2024 (Ref: SSPSL /SEC / 2023-24 / Feb/ 05). A Corrigendum is being issued today to inform the Shareholders to whom the Notice of Extra Ordinary General Meeting has been sent regarding additional information / disclosure / update.

A copy of detailed the Corrigendum is enclosed herewith. The Corrigendum shall be published in Newspaper and posted on the website of the Company.

Except as detailed in the attached Corrigendum, all other items of the EGM Notice along with Explanatory Statement dated 25th January, 2024, shall remain unchanged.

Sub: Corrigendum to Notice of Extra Ordinary General Meeting (EOGM) of the Company Ref: SSPSL /SEC / 2023-24 / Jan /09 dated January 30, 2024 and corrigendum issued on 15th February 2024

Dear Members,

We draw attention of all the Members of S & S Power Switchgear Limited (the ‘Company’) to the Extraordinary General Meeting (’EOGM’) of the Company held on Wednesday, 21st February 2024, at 11.00 a.m. through Video Conferencing (‘VC’) to transact the businesses mentioned in the Notice convening the EOGM dated 25th January 2024 (’EOGM Notice’).

The Company had on 30[th] January 2024, completed dispatch of EOGM Notice through emails to those Members whose names appeared in the Statement of Beneficial Ownership maintained by National Securities Depository Limited (the ’NSDL’) and Central Depository Services (India) Limited (the ’CDSL’) or Register of Members of the Company.

The Members of the Company are requested to take note of the following additional information / disclosure / update:

As per the input received from Stock Exchanges, the company has revised the valuation report / issued an addendum to the valuation report. Also, the company has submitted revised valuation report / addendum to the valuation report of M/s. Hamilton Research & Technology Private Limited and M/s. Acrastyle Power (India) Limited. The same is available for verification on our website at www.sspower.com.

As additional method of valuation has been furnished to BSE / NSE, although there is no change in the final valuation , the company decided to provide an opportunity to the shareholders to raise their concern, if they so desire. In case the shareholders have any concerns / queries / clarifications required or in case if upon receipt of the above additional information, if the shareholders who have already voted in respect of the above matter wish to raise their concern, shall write to Mr. Prince Thomas, Company Secretary and Compliance Officer at email : secretarial@sspower.com or can call at +91 9381747601 on or before March 30, 2024., post which any concerns / queries / clarifications will not be taken into consideration.

After completion of the aforesaid time, the company will submit the report from the Scrutinizer confirming details of responses, if any, received.

All other information and content as set out in the EOGM Notice dated 25[th] January 2024 and the corrigendum issued on 15[th] February 2024, including the resolutions to be considered there at remain unchanged. The Members may note that the EOGM Notice and the Corrigendum to the EOGM Notice will also be available on the Company’s website www.sspower.com and on website of the Stock Exchanges at www.bseindia.com and www.nseindia.com.

Accordingly, all the concerned Members, Stock Exchange, Depositories, Registrar and Share Transfer Agent, agencies appointed for e-voting, other authorities, regulators and all other concerned persons are requested to take note of the aforesaid corrigendum.

The said Notice of Extra Ordinary General Meeting is placed on the Company’s website i.e. www.sspower.com
